我國營業秘密法修正芻議之探討

摘要

2013年新通過的修正案中，除增訂侵害營業秘密的刑責，並針對意圖域外使用情形，大幅加重刑事責任與民事賠償；本文之研究重點，在於近來營業秘密實務運作對於保護範圍之定向，且就營業秘密保護之目的作學理之探討，藉以論證我國營業秘密法修法之必要性，並對於法規提出修正之建議，對於法規制度層面改善，是否真能符合最適刑罰設計，以達防堵機密外洩之效與營業秘密法律規範內容及其規定，佐以學者之期刊、論文，作為研究論證，探討現行法於實體上規範未周全之處，以期找尋出更健全之保護方法與程序，始得對於修法論上提供更明確之方向。

Even the new amendments in 2013 because laws are still unable to keep up with the fast pace of technological progression. With this in mind, this paper will address the ROC Trade Secret Law （1995） and intends to suggest other new statutes to provide a more comprehensive law to battle and prevent the further breaches of Trade Secrets. First of all, the intention of this article is to re-evaluate the nature of Trade Secret, and present an analysis of present regulations, thus clarifying the definition of right and interest in relation to Trade Secret. Secondly, this article will focus on the Trade Secret laws of the ROC and introspection on the true meaning of Trade Secret. Finally, this paper will provide suggestions to the proposed amendments in the ROC Trade Secret Act.
