證券業併購策略之分析與比較以元大寶來證券與凱基證券為例

摘要


台灣證券商發展過程,不斷因應環境之變遷與國際化之潮流,為了爭取 業務,拓展證券市場版圖,紛紛進行企業併購、營業受讓或是策略聯盟,有 助於改變證券商營業據點過多、經營水準良莠不齊、風險過大的問題。證券業競爭來自於產業內外,競爭優勢取決於能提供全方位的服務,證券業將不脫離大者恆大之原則。 本研究從國內金融業併購的歷史與現況、證券業進入中國證券市場的合作機會與未來、兩岸證券商跨國併購和合資的發展與機會,以文獻探討的方式研究個案公司和對手公司併購策略標的不同的併購發展與比較,藉由分析個案公司,以供未來證券相關產業在併購策略與進入中國市場的建議。

The securities firms in Taiwan, in order to cope with the environmental change and internationalization/globalization trend, expand businesses and the securities. Market share, have continuously carried out mergers and acquisitions activities or built strategic alliance. And, this leads to eliminate the shortcomings of excessive business points, uneven service qualities and unpredictable risks. Since competitions of securities business come from all directions, a securities firm will only gain competitive advantages by providing a wide variety of services. In the end, the big ones getting bigger becomes the rule in the securities business. This study is based on domestic financial sector M & A history and current status, Securities industry expansion into China's securities market, and future opportunities for cooperation. This study explores development of across strait securities dealers with the opportunity to cross-border mergers and acquisitions and joint ventures. In addition, it reviews literature, case study, and the subject of a rival company acquisition strategy development, and then compares two different acquisitions. By analyzing the acquisition strategy of studying companies, it concludes an advice for entering the Chinese market in the future for securities-related industries.
