公司治理與專業經理人:以東元電機為例之個案研究

摘要


近年來台灣政府為提升企業於國際上的競爭力,逐步修正各項法規以強化公司體質架構,透過對台灣部分逾50年以上公司的觀察,發現許多企業不僅要修改章程及調整組織予以適應,同時正面臨著領導接班問題及市場派投資人的經營權挑戰,究竟要如何因應這些影響企業永續經營的不確定因素 ?事業主不僅要有穩定的股權實力,亦需發揮過人的智慧來接受每一項挑戰。 東元電機是一家創立於1956年的台灣傳統機電設備製造公司,因其成立背景而延續著特有的接班文化傳統,領導團隊深知「公司治理」對企業永續經營的重要性,因此,政策上多優先於政府制定法令前,便積極推動各項相關政策。本研究為針對東元電機採專業經理人經營的特色及在推動公司治理上如何規劃做探討,研究公司在面臨經營環境劇變時的處理方式、組織擴大時各部門的協調控制能力及公司所有權便動時經營的穩定性等,最後找出東元電機成功經營的特質。 經由個案資訊彙整分析後,發現東元電機「專業經理人」與「公司治理推動」二項特質與其企業能長期穩定性經營有密切關聯性,不僅公司經營績效顯著,亦連續多年獲得了公司治理評鑑最高治理等級評比,吸引更多國際投資機構青睞並增加對東元電機的持股部位,彰顯重視與推動公司治理為企業帶來的效益,值得尚未下定決心投入公司治理之企業參酌與學習。

In recent years, Taiwan government has gradually amended various laws and regulations to strengthen the corporate structure in order to enhance the competitiveness of enterprises in the international arena. Through observation of some companies that have been established for more than 50 years in Taiwan, it is found that many enterprises not only need to modify the articles of association and adjust the organization to adapt. At the same time, they are facing leadership succession issues and market-based investors’ management rights challenges. How to deal with these uncertain factors that affect the sustainable operation of enterprises? Business owners must not only have stable equity position, but also exert their extraordinary wisdom to take every challenge. TECO Electric is a Taiwan traditional electrical equipment manufacturer founded in 1956. Because of its background, TECO continues the cultural tradition of professional manager succession. the Leadership understands the importance of Corporate Governance to the sustainable operation of the company very well. therefore, TECO has more priority than the government to actively promote various corporate governance policies before enacting laws. This research is aimed at exploring the characteristics of TECO's professional managers and how to plan to promote corporate governance. It will study the company's decision-making methods when facing drastic changes in the business environment, the coordination and control capabilities of different departments when the organization expands, and the stability of operations when company ownership changes. Finally, find out the characteristics of TECO's successful operation. After the case study, it was found that TECO’s two operating characteristics, "professional manager " and " implementation of corporate governance", closely related to the stable operation of enterprises. Not only the company's operating performance is remarkable, but it has also been awarded the company for many years. The highest level of governance evaluation has attracted the favor of many international institutions to increase their investment in TECO. It also highlights the benefits brought to the company by focusing on and promoting corporate governance, and it is worthy of consideration and learning by companies that have not yet made up their minds on corporate governance.
