兩IC設計公司併購後的競爭優勢探析--以B公司合併C公司為例

摘要


IC設計公司一直給予人們高科技與高附加價值,對於其員工大多數人也都以高知識分子視之。隨著企業規模變大、產品多元化,原有的營運模式早有可能不適合,必須隨著局勢而作些許調整,併購的商業模式也在此時孕育而生。 然而,併購之前的審慎評估與之後的內部資源的整合,都關係到這個併購是否成功或失敗。矽谷的IC設計公司已經成功的營運多年,其中不乏許多新創立的公司還有併購的案例,本研究希望透過基本的五力分析、群聚理論還有市場競爭結構分析來了解B公司在合併C公司之後的市場分析與其競爭優勢。

It is said that IC fabless companies are with the high-tech and high additional values and the employees are also with well-educated background. When the companies grow up, the scales increase and the products become more diversification, to induce the original working model maybe not suitable to use. It needs to slight modify the handling way base on the current situation and the merger and acquisitions business models are also generated at the same time. However, it needs to carefully survey and evaluate before the merger and acquisitions and to arrange the internal resources for integration after it. Due to these will be impacted to the success or failure for the acquisitions step. IC design houses in Silicon Valley are successful working for a long time and it includes many new companies and the cases of acquisitions. This research hopes to use the competitive five forces analysis, cluster theory and the market competitive structure analysis to know the marketing analysis after company B to merged the company C and its related competitive strength
