對台灣REITs管理模式的建議-兼論管理機構的規範重點

摘要


台灣自二○○三年通過了《不動產證券條例》後,實施迄今已有三年多,行政院針對實施後的問題與討論等,業已於二○○五年十月將《不動產證券條例》部分條文修正草案送請立法院審議,本文認爲該修正草案忽視了不動產管理機構的角色與地位的重要性。爲此,本文從國際或地區對於不動產投資信託(REITs)有關管理模式的相關規範出發,反窺台灣目前有關的規定,並提供個人淺見,從中探索國際對於不動產投資信託(REITs)管理模式規範對台灣的啓示,冀望本篇的討論能引起各方對於不動產管理機榕的重視,並希望對於《不動產證券條例》的立法完善有些許的助益。

Since 2003 the ”Real Estate Securitization Act” of Taiwan has become effective. Recently the Ministry of Administration has gathered relevant practices regarding the issue and has delivered a draft amendment of this Act for the Ministry of Jurisdiction's further review and discussion. At first glance, we notice from the draft amendment that the roles and positions of the real estate management have been overlooked, despite the fact that in other countries or territories, these roles are considered to be prime and crucial. Meantime, I will also observe the relevant laws and regulations from other countries or territories related to the managing of REITs and will compare with the drafted amendment of Taiwan. It is my hope that this discussion could recapture the attention to the roles and positions of the real estate management, thus supplement and conclude the ”Real Estate Securitization Act” of Taiwan
