基業長青--家族企業永續傳承之關鍵成功因素探討 ―以W集團為例

摘要


本研究以一家家族型態經營的W集團家族企業,探討過去面臨的問題、與關鍵成功因素,試圖建構一套適合W集團家族永續傳承的制度。透過分析與名目集體討論技術(Nominal Group Technique, NGT),並參酌過往文獻分析,歸納出「家族事務」、「家族管理」、「家族控股事業管理」等三大部份,形成的家族憲章,做為個案家族未來發展的藍圖,使家族事業能永續長青。本研究為W集團制定之家族憲章含括:前言、家族使命、家族價值觀、家族會議、家族委員會、家族控股公司管理、家族接班計畫、家族基金管理及收益分配、選舉制度、僱用政策、家族成員行為準則、藥物及飲酒規定、違規裁罰、退出家族、家族股權控制及移轉限制、衝突解決、重大決策、及家族憲章訂定和修改等18個單元。

This study aims to establish a family constitution, based on W Group, a family firm managed by a family. We analyzed the problems faced by the W Group in the past, and the key success factors to construct a suitable family W Group sustainable heritage system. Through analysis and Nominal Group Technique (NGT), and literatures analysis, summarized into three parts, there are "family affairs" , " family management ", and " family-controlled business management ", in order to form a family constitution , do case family as a blueprint for future development, so that the family and the family business can be sustainable even built to last. This study developed 18 units family constitution for W Group including: preamble, family mission, family values, family meetings , family committee and holding company management , family succession planning , family fund management and income dividend policy, voting, employment policy , code of conduct for family members, drugs and alcohol policy, sanctions, exit strategy, the family shareholding control and transfer restrictions , conflict resolution, major decision, about family constitution establish and modify, as well.
