集團內部上下游交易的效率分析-以A公司為例

摘要

台灣TFT-LCD廠商雖然引進日本技術支援使得TFT-LCD做到可以大量生產且有能力自主研發，成為全球市佔率坐三望二的規模水準。但由於絕大部份的關鍵零組件開發及生產技術仍然掌控在日系廠商手上。台灣廠商雖然在近十年來已經提高關鍵零組件的自製率達50%以上，但由於面板玻璃次世代工廠設備的競爭，導致面板的投入資金比重越來越高。另外，由於面板生產技術穩定、後段模組生產線出走大陸等種種因素，導致面板價格持續走跌。使得台灣廠商的毛利率也跟著漸趨式微。

因此，以中游面板廠或是面板廠母公司為主的集團式生產TFT-LCD便因此產生。中游面板廠藉著股權投資以獲得上游原物料廠商的經營權，或是100%轉投資成立新的上游原物料廠商。期望可以藉由公司的集團化經營來降低關鍵零組件成本並且最終獲得更高的營運獲利與績效。

本研究要探討的便是要試圖瞭解在台灣的TFT-LCD企業紛紛成立集團公司的同時，在集團間的內部交易是否真的可以為整體集團營運帶來獲利，且集團間的內部交易是否存在著較高的交易效率以替公司獲得競爭優勢。而在集團間的運作是否又有甚麼特別的優勢或是需要長時間調整的弊端以提供相關業著在未來進行集團運作時之參考。

With Japanese TFT-LCD technology transfer in the beginning; Taiwan’s TFT -LCD Company has become a technology innovator with strong emphasis on research and development on display technologies for years. Even so, for most TFT-LCD up-stream critical components, the Japanese suppliers still dominate over the global competitors. To obtain edge in global TFT-LCD industry, Taiwan’s company has developed critical components producing in-house for over 50% over the past ten years. However, it still faces at uncertain factors under global dynamic competition of large-size TFT-LCD generations leading to large investments on property, plant, and equipment. On the other hand, with advancing technology in the globe, TFT-LCD high-yield mass production & LCM in mainland china has triggered price cut and has reduced gross profit margin.

Therefore, Taiwan’s company invested and established subsidiaries as mid-stream manufacturers for vertical integration in its supply chain. Mid-stream manufactures obtain the management right of up-stream critical component suppliers via equity investments or corporate re-investment to become 100% subsidiary. It’s expects to increase operation income and performance by decreasing the cost of critical components through intra-group trading in collectivize management.

The study is to probe if the intra-group trading could positively contribute operation income & performance in collectivize management while more and more Taiwan TFT-LCD manufacturers are marching in the direction. Meanwhile, it is also to examine the efficiency of intra-grouping trading for pros and cons as a reference to industries.
