由於產業變化迅速,以及經營環境風險提高,造成市場環境更加難以預測與掌握,企業為了尋求成長以及提高競爭力,開始向外尋求各式的合作模式,而在自身資源與技術有限的情況下,採取與其他企業以合資的方式進行合作,加強及維持本身企業的競爭優勢,便成為一個快速而可行的方式。 當合資案發生後,對企業經營而言是一項重大改變,無論是國際合資或是國內合資,均會面臨經營管理與組織的問題,由於合資經營的關係複雜,因此需要有一套不同的管理方式,若能有效的管哩,將能提升自己的競爭力,因此合資企業的治理便成為一個重要的議題,攸關合資企業的績效與成敗。 本研究乃以合資企業之經營管理的角度,透過A公司與E公司合資成立之「D公司」的案例,探討其共同合資之策略考量,以及個案公司,如何發展其經營管理策略,同時也藉此個案了解LCD化學材料產業。 本研究首先透過探討合資相關之文獻為基礎,並透過對D公司資料之收集與相關人員之訪談,進一步了解A公司與E公司作成合資協議的原因,以及分析D公司之經營管理策略,能否達到有效管理及提升企業競爭力。 本研究顯示,透過合資企業所發展出的管理方式,對提升合資企業之績效與能力,確實有很大的幫助,但因合資企業受制於母公司們的監督與管理,於尋找新的成長機會時,不容易完全依照自己的方式與規劃。對後續有意進行合資經營之企業,可參考合資個案公司的經營管理模式來進行,但對合資企業所面臨的限制,則需加以注意並事前規劃避免。
Fast transforming marketplace and rising risk of operating environment is causing marketplace become increasingly difficult to predict and manage. In order to pursue higher growth and increase competitiveness, enterprises are reaching out for various cooperation models. Due to limited resource and technology, to form a joint venture with another company is a fast route to preserve and enhance company’s own competitive advantage. Due to the complexity of the management relationship of a joint venture, it will need a specialized management methodology. The effectiveness of the management will increase its competitiveness. Therefore, governance of a joint venture company has become a critical subject, one that can have great impact on the joint venture’s performance and success. This research examines the joint venture from management’s perspective, using joint venture company “D”, formed by company “A” and company “E”, as the case study to investigate the strategic consideration behind the joint venture, how it develops its management strategy, also take the opportunity to understand LCD chemical material industry. This research is through information gathering on company “D” and interview with related personnel to understand the reasons behind the decision to form a joint venture, and analyze whether or not company “D” management strategy will achieve management efficiency and increase corporate competitiveness. From this research, the managing methodology of joint venture did very good to help & improving the performance & capability of joint venture. But restricted by parent company, it is difficult for joint venture to proceed a diversified strategies for future growth. The advantage & disadvantage would be very important reference for setting up a joint venture.
