近年來台灣證券交易所公司治理中心積極地推動企業社會責任報導,特別是藉由法規的修訂以改善企業的資訊揭露及透明度,並期望透過提高企業資訊透明的方式,以降低企業管理者與外部投資人之間的資訊不對稱。本研究的目的係以台灣上市櫃公司為樣本,檢視企業社會責任報導與資訊揭露水準之間的關聯性,也能讓國內企業的管理者深刻瞭解從事企業社會責任報導對於資訊揭露的涵意。 本研究由企業社會責任報導的角度,探討影響公司資訊揭露水準的因素。研究結果發現,當董事長身兼總經理時或負債比率越高,公司的資訊揭露評鑑等級較差;當公司為電子業時或成長潛力越高,公司規模越大以及獲利能力越高的公司,因資訊透明度越高,故資訊揭露評鑑等級較高。最後實證顯示從事企業社會責任報導的公司,其資訊揭露評鑑等級會較高,支持本文研究假說。
Recently emphasized on the Taiwan Stock Exchange Corporate Governance Center to actively promote the reporting of corporate social responsibility. In particular, Securities and Futures Commission started to improve the disclosure of firms in order to reduce the information asymmetry between insiders and outsiders. This paper based on Taiwan listed/OTC firms information figure out the association between the reporting of corporate social responsibility (CSR) and the rating of information disclosure (ID), through which this study tries to provide the meaning of information disclosure to domestic enterprise managers. From the viewpoint of CSR to discuss the effect of ID. I find the higher ratio of chairman and CEO as same person or higher debt ratio, the lower grade ID. If the company is listed in electronic industry or in growing potentially or in large scale or in high profitability, it will get high rating because of its higher ID transparency. Finally, this empirical finding can support my hypothesis.
