通路與技術併購之無形知識移轉

摘要


高科技產業的產品汰舊換新非常快速,為了拉大與競爭者之間的距離,並取得關鍵技術的知識,藉以提昇企業自身的技術以及通路的能力,許多廠商運用併購來快速的取得關鍵技術,藉以提昇廠商技術與通路的能力。因此本研究主要是以台灣的產業的技術併購以及通路併購的案例為主,以知識基礎觀點來探討, 併購後的無形知識轉移的成功與否與技術與通路的能力提升之間的關係,並藉以了解無形知識移轉的成功與否與併購後綜效的關聯性進而導出本研究的命題。 根據本研究的發現併購後的無形知識移轉成功與否與併購後的綜效息息相關。主併公司與被併公司的產業愈相似,有助於併購後主併公司與被併公司的知識轉移。通路或技術的併購,主併公司有無能力清楚辨視被併公司在通路或者技術的主要無形資產,是併購後成功移轉被併公司技術或通路相關知識的重要關鍵因素。 在通路以及技術併購中,非正式的溝通方式,可以增加被併公司成員社會化知識分享的意願。以併購通路為目的的併購案中,非正式的溝通方式會比正式的溝通方式還要重要。以技術併購中,以工作輪調或者是以專案為主的正式溝通會比非正式的溝通方式更有助於關鍵無形知識的轉移。

Due to hi-tech products change rapidly, in order to keep the competitive position in the market, many companies apply M&A as a tool to acquire key technologies to enhance corporate technology and channel capabilities. From the cases of Taiwanese companies’ M&A experiences in acquiring key technology and channel, this study is based on the knowledge-base view to understand the correlation between tacit knowledge transfer during acquisition implementation and the synergy of post-M&A and hence develops the propositions of this study. Based on the study, we found that the degree of tacit knowledge transfer between acquiring and acquired firms has direct impacts to acquiring firms’ post-M&A’s synergy. The more tacit knowledge that acquiring firms have acquired from target firms, the better synergy that acquiring firms perform during acquisition implementation. The more similarity of acquired firms and target firms’ industry, the greater to facilitate knowledge transfer from acquired firms to acquiring firms during acquisition implementation. The acquisitions for acquiring channel or technology, whether acquiring firms have the capability to identify key tangible asset among target firms will be one of the key successful factors to facilitate knowledge transfer during acquisition implementation The acquisitions for acquiring both channel and technology, informal communication can enhance the willingness of sharing socialization knowledge among the members of target firms. However, the acquisitions for acquiring channel, informal communication is more important than formal communication. The acquisitions for acquiring technology, the formal communication like job rotation or formed as a project team can help to facilitate the transfer of tacit knowledge.
