公司治理與股票報酬之關係：臺灣上市公司的實證分析

摘要

本研究以經濟合作暨發展組織之公司治理原則及國內外相關理論及實證文獻為基礎，透過量化分析驗證臺灣上市公司治理評等不失為衡量股票報酬的重要指標，以作為投資人選股策略之參考依據，進而降低財務損失風險。
樣本資料以取自臺灣證券交易所股份有限公司及財團法人中華民國證券櫃檯買賣中心共同委託財團法人證券暨期貨市場發展基金會2013年6月20日發佈之「第十一屆上市上櫃公司資訊揭露評鑑」作為公司治理評等綜合指標，計708家上市公司。利用迴歸分析結果發現公司治理評等與股票報酬具有正相關，惟對股票報酬變異的解釋能力不高，此項實證結果亦顯示出股票報酬係由其他更多的變項因素影響所致。
因此，最後以複迴歸實證分析上市公司治理評等、股票報酬率及公司經營效率之關聯性，分析結果說明股票報酬率與純益率、權益報酬率呈顯著負相關，即表示純益率與權益報酬率愈高，股票報酬率愈低，而與公司治理評等指標呈顯著正相關，前項評等等級愈高，股票報酬率愈高。故進一步分析，顯示公司治理評等與純益率皆具有解釋股票報酬率的顯著性。

This thesis studies the effect of corporate governance on stock returns. Following the principles of Organization for Economic Co-operation and Development, we use the data of corporate governance rating of the Taiwan Securities and Futures Institute to study whether corporate governance can be regarded as an important indicator for stock returns. The data of corporate governance for708 listed companies in the Taiwan Stock Exchange and Taiwan GreTai Securities Market are released by the Securities & Futures Development Foundation on June 20, 2013 release.The results of regression analysis show that corporate governance rating has a positive correlation with stock returns, although some other factors also affect stock returns. Finally, we use multiple regressions to study the relationship between corporate governance rating, stock returns and operating performance. The evidence shows net profit margin and return on equity (ROE) are significantly negatively correlated with stock returns, while the corporate governance rating indicators are significantlyand positively correlated with stock returns.
