藝術授權契約與模式之研究-以華人藝術家畫作為例

摘要


本論文「藝術授權契約與模式之研究—以華人藝術家畫作為例」探討公平性的授權契約設計、範例、終止的探討與風險趨避。當藝術授權品、藝術複製品、藝術衍生品市場的急速成長,也帶動藝術授權商品營收的成長,畫作授權除了可以增加藝術作品的流通價值,藝術作品可以藉由不同的圖像授權平台擴散與流通,也可以增加知名度與創造社會、文化、經濟價值。藝術家將著作財產權等無形資產讓使用者在許可範圍內利用該著作,透過授權契約以約定授權人、利用人、授權標的、授權範圍,防止藝術創作被不當地複製、再製與使用。藝術家將著作財產權透過契約來確保雙方之間的權利與義務關係,授權契約的功能應該是維護雙方的權益,具有存證與舉證的功能,雙方必須依據不同的授權範圍去訂定適當的授權契約內容使雙方都獲利。論文的研究結論是藝術見解的轉變下,藝術家以契約約定的形式來保護自己的藝術創作,藝術家微創藝術觀是藉由藝術授權與藝術商品化開創藝術共享思維。該如何針對藝術創作的著作財產權授權考量被授權者與授權者的立場制定雙方合意的契約? 雙方如何在公平立場簽訂互利條款,以授權公平為原則去討論不同的授權定型化契約供藝術家簽約時參考的範例,商業應用與授權合作。本論文研究是以文獻分析法,專家訪談法與內容分析法,針對藝術授權案例去分析授權契約類型、範例、等架構,授權過程,雙方要特別注意合約要明確列出與審核的內容,最好是能設計適度契約來保障雙方,根據資源配置的最佳狀態去擬定契約書範本,達到未來利益分配的公平性,才能同時保障雙方權益。

This research "Research on art licensing contracts and model: Cases study of Chinese artist paintings" address the design, examples, and termination of a fair licensing agreement and risk aversion on intellectual property rights of fine art. As the markets for artwork licensing products, artwork reproduction and artwork’ peripheral products rapidly grow, the revenue of artwork licensing merchandise projects also increases. By rapid distribution and circulation of artwork images between different on-line licensing platforms, licensing agreement for painting artworks not only can increase the artworks’ circulation value, but also increase the art works’ popularity and create society, cultural and economic value. Artists allow users to make permissible use of their intangible assets such as copyrights through licensing agreements, the terms under which establish licensor, licensee (user), licensed subject, and scope of license, and thus prevent artworks from being improperly copied, reproduced, and used. Through a licensing agreement, artists can protect the copyrights and balance the rights and obligations of both licensor and licensee. The purpose of a licensing agreement is to ensure a given balance of both parties’ right and interests under the constraints imposed. Therefore, a licensing agreement is essential. Both parties need to comprise appropriate content of the licensing agreement, based on their respective scope of license, to benefit both sides. The conclusion of my thesis is that due to the transformation of the concepts of arts, artists should protect their rights by signing contrasts, i.e. Protecting and sharing their ideas by authorization as in the business model. The questions are : How to make a contractual agreement for artists’ copyrights, the terms under which are applicable from the perspective of both licensee and licensor? How to comprise terms that are fair and mutually beneficial to both parties? By evaluating different contracts of adhesion based on the principle of fairness, we aim to discuss various contract templates for artists to refer to when they are signing a licensing contract, business application, and authorized collaboration. This research untilize Documentary Analysis Method, Expert Interview Method, and Content Analysis Method to analyze various types and examples of licensing agreements. During the licensing process, both sides needs to ensure that the all terms and condition of the contract reviewed is clearly written. The best practice is to develop an appropriately designed contract template to protect both parties, based on the best resource allocation state, and to achieve the fairness of future profit distribution, and thus to ensure both parties’ best interests.
