我國電子業籌措資金管道分析及個案探討

摘要

資金是維持企業永續經營要素之一，企業的資金除了需要準備營運資金外，也需依照公司之發展策略規劃生產規模的增加，投資的需求，研究發展的費用，併購及轉型等所需要的資金。

企業的資金來源分為內部資金和外部資金，內部資金即指由營運所產生的資金，外部資金則是對外發行新股或是舉債，對外的融資工具包含負債融資和股東權益融資，依據資本結構理論，公司在有所得稅的情況下，舉債所產生之利息費用有節稅之效果，可藉由槓桿效應，提昇公司市場價值( Modigliani & Miller , 1963) ；股東權益融資主要是藉由發行新股籌措資金，可以改善財務結構但會稀釋每股盈餘，或是介於負債融資及股東權益融資中的可轉債融資。

近年台灣電子業在撙節成本及提高獲利考量下，生產與銷售據點佈局全球，並藉由稅務規劃，將全球的利潤及資金作最有效的配置；但台灣電子業營運總部多設置於台灣，在台灣有營運、投資及現金股利之龐大資金需求，故在台灣的資金規劃與籌措是台灣電子業之重要課題。

在個案公司方面，由合併報表中得知集團資金足以支付營運所需，但近年來在稅務成本和全球資金規劃的考量下，個案公司之負債比率高達54.91%，在考量實務需求，股本規模，每股盈餘，資金成本，對股東權益的影響及改善財務結構等的因素下以現金增資方式進行籌資。

台灣電子業近年在考量資金的有效運用及稅負成本，將部份資金放置於海外，若政府能鼓勵產業海外資金的匯回，降低課稅比率，增加優惠抵減，將有助於提升台灣電子業的資金規劃和籌資的彈性。

Funding is one of the key factors to maintain company’s sustainable development. A company not only need the working capital but also has to prepare the funding for capital investment, research and development, product diversify planning, and so on.
In finance, capital structure is the way a corporation finances its assets through internal financing and external financing. Internal financing is a firm using its profits as a source of capital for working capital. External financing is the phrase used to describe funds that firms obtain from outside of the firm. The two main ones are equity issues, (IPOs or SEOs) and new borrowing. External financing is generally more expensive than internal financing, because the firm often has to pay a transaction cost or interest to obtain it. However, if we concern about taxes, when the interest on debt is tax deductible, and ignoring other frictions, the value of the company increases in proportion to the amount of debt used.
In recent years, Taiwanese Electronics industries set up the sales office and production plant around worldwide in order to save cost and increase profit. Further, the global tax planning is also a key factor to optimal allocate profit and funding. Normally, the head quarter of Taiwanese Electronics industries are in Taiwan, so the financing planning and raising funding in Taiwan is very important.
The case study is a real raising funding by capital injection. It states the company’s consideration, including financial ratio, capital structure, EPS and funding cost and so on.
