股東權利與公司價值的關係-以台灣電子投票為例

Shareholder Rights and Firm Values: The Case of E-voting in Taiwan

摘要

金管會在「2013強化我國公司治理藍圖」中提出了改革公司治理的幾個方案，電子投票為其中一個。電子投票的出現使得股東權利的時使將不受時間及空間的限制，而2018年起，金管會也規範全體上市(櫃)公司股東會採行電子投票，使股東多一種出席股東會的管道，當股東無法親自出席時即可透過電子投票的方式行使股東會表決權。
公司治理與公司價值一直都是備受關注的議題，電子投票的出現，也影響了股東的權利，因此本研究收集2014年~2017年不含金融業之台灣上市櫃公司，在控制對公司價值的影響因子後，發現電子投票的實施，對公司價值有正向且顯著的影響。另外也以外資持股比例為切入點，分成電子業及非電子業，去分析是否外資持股會影響電子投票的實施，實證結果顯示，外資持股比例較高的非電子業較偏好實施電子投票。

Although Taiwan has made progress in corporate governance, more measures are still being undertaken. January 18th, 2018 , Electronic voting must be provided as one of the voting methods available for the shareholder meeting of every TWSE-listed and GTSM listed company. This paper analyses the relationship between firm value and E-voting. We hypothesize the relationship is positive and firms with higher foreign institution holdings may prefer adopting E-voting. Our empirical results support our hypothesis, the adoption of E-voting will enhance firm value.
