研究以2006年至2014年之上市櫃公司為研究對象以客戶重要性及受查公司的董監事會特性(財務背景、兼職、持股比率、開會次數及獨立董事席次)作為主要研究變數,探討其對審計失敗之關聯性。以財務報表重編及財困公司未收到繼續經營疑慮意見做為審計失敗之代理變數。以財務報表重編作為審計失敗替代變數的實證結果顯示,受查公司對會計師事務所的重要性與財務報表重編無顯著關係。董監事會特性方面,董監事兼職數目愈多,發生重編的機率愈高;董監事持股比率越高,董監事越會關心財務報表品質,降低財務報表重編機率,獨立董事席次越高越能好好監督公司管理階層,而降低財務報表重編機率;而董監事之財背景及開會次數則對財務報表重編無顯著影響。 以財務困難公司未收到繼續經營疑慮意見做為審計失敗的替代變數的實證結果顯示顯示,受查公司對會計師事務所的重要性愈高,收到繼續經營疑慮意見的機率愈高,較不會發生審計失敗。董監事會特性方面,董監事持股比率愈高時,財困公司收到繼續經營疑慮意見的機率愈高,顯示董監事的持股率愈高,愈無法盡到監督審視財務報表的責任,進而增加審計失敗的發生率。董監事財務背景及兼職對審計失敗的發生率並沒有顯著影響,而董事會的勤勉度(開會次數)愈高,會計師會參考會議紀錄簿,財困公司收到繼續經營疑慮意見愈高,降低審計失敗發生率。
The purpose of this study is to examine the effects of client importance and characteristics of board directors on audit failure during 2006 to 2014 period. I use the financial restatement and financial difficulty companies who did not receive going concern audit opinion as audit failure. The empirical results show that there is no significant relationship between client importance and financial restatements. The more board members holding several jobs in other companies concurrently, the higher likelihood of financial restatement occur. Firms with higher percentage of independent directors on the boards, and director and supervisor ownership have lower likelihood of financial restatement. On the other hand, client importance is significantly positively associated with going concern audit opinion issued, which implied firms have lower likelihood of audit failure. Firms with higher percentage of director and supervisor ownership have lower probability received going concern opinion. Firms with more board meetings have higher likelihood of going concern audit opinion received.
