The Effects of Corporate Governance Evaluation and Corporate Social Responsibility on Corporate Value

摘要

本研究以臺灣接受公司治理評鑑之上市櫃公司為原始研究樣本，探討公司治理評鑑、企業社會責任與企業價值之關聯性。公司治理評鑑的衡量本研究以證基會歷屆所公布的「公司治理評鑑結果」來做為評估標準。企業社會責任的衡量本研究以企業是否有獲得天下雜誌所頒布的「企業公民獎」來做為評估標準。至於企業價值的衡量指標本研究以「Tobin’s Q」此一市場績效指標作為企業價值之衡量指標，藉此探討公司治理評鑑、企業社會責任與企業價值之關係。研究期間為 2015 年至 2018 年，並採用最小平方法(OLS Model)迴歸分析法進行實證分析。本研究之實證結果：(1)公司治理評鑑結果較佳的企業有較高之企業價值；(2)企業社會責任績效較佳的企業有較高之企業價值。本研究之貢獻：以往學者之研究，基於研究上之限制；研究期間太短，只採一屆(或一至二屆)及所取得之財務資訊非評鑑公布之當年度。而本文之研究已至第四屆且取得評鑑公布當年度的財務報表資料為運算基礎，較能充分地檢測公司治理評鑑結果對公司價值之影響。盼此研究之探討，以供續後研究者之參考 。

This study’s focus is on the effects of corporate governance evaluation and corporate social responsibility (CSR) on corporate value. The results, based on a sample of 5,444 companies listed on the Taiwan Stock Exchange Corporation and the GreTai Securities Market those be evaluated in the period 2015–2018, generally support the expectations of this study. Corporate value proxied by Tobin’s Q increases not only in accordance with better corporate governance evaluation proxied by the "results of corporate governance evaluation" published by the Securities and Futures Institute but also in accordance with better CSR performance proxied by the award winners of "Excellence in corporate social responsibility top 50" awarded by CommonWealth magazine.
