近年來兩岸經貿交流持續發展,迄今中國大陸已是台灣最重要貿易夥伴,以及第一大對外投資地區。兩岸經貿成為台灣經濟發展必須考量因素,也是兩岸整體關係最重要的一環。台商是兩岸經貿發展的關鍵推手,對增進兩岸經貿關係具有重要貢獻,鑒於台商在大陸投資、生產、建廠,需要大量使用土地,同時台商在大陸經營各項事業,極需融資以解決進貨、設備、生產、製造等各項問題,如何利用抵押等擔保方式,以籌措資金進行經營,更值關注台灣民法物權與大陸物權法有關擔保物權規定之異同。 兩岸同時在2007年制定或修正物權法;台灣修正民法物權編「擔保物權」條文,中國大陸制定「中華人民共和國物權法」法規。本文研究範圍,乃以擔保物權中之抵押權制度為題,並限於篇幅之因素,僅以「抵押權效力」及「最高限額抵押權」為論述中心。是以本文將以兩岸抵押權擔保債權之範圍、抵押權標的物之範圍、抵押權對抵押人之效力、抵押權對抵押權人之效力及最高限額抵押權等之法制分析為主要論述內容。
In the last few decades, the business between China and Taiwan has been growing rapidly; nowadays, China is the very most investing market for Taiwan. Due to this rapidly grow, there are various important issues we need to think it through, for example, when Taiwanese investors start building the factories in China, to understand the agrarian laws on the land is a must, other than that, anything related on manufacturing procedures such as equipments purchasing, products stocking, shipping, operating systems, all need a strong financing flexibility to get things worked well. For this reason, solid background knowledge relate to the mortgage law, whether in Taiwan or in China, or even the differences in between them, is very important for Taiwanese investors. . This study is focused on property rights of mortgage law between Taiwan and China, mainly centering around the subjects relate to “the effectiveness of mortgage law” and “the ceiling of mortgage loan” issues. Based on the amendment of property law between Taiwan and Chin in 2007 as well as Taiwan’s “guaranteed property” regulation in civil law and China’s, hopefully to bring up a bigger picture to understand the mortgage laws in both Taiwan and China.
