國盈餘品質與公司治理：管理者表現會影響股價嗎？

摘要

本研究主要討論新上市公司的盈餘品質是否會影響上市初期報酬，又這種影響是否會傳導給公司治理，我們選取1998年到2005年的樣本期間，所有新上市公司。在所取得之樣本中，本研究又將之區分爲傳統產業與高科技業兩群，在1998-2005年樣本群資料中，計271家新上市公司，其中資訊電子業計201筆，傳統產業計70筆。實證結果發現好的公司治理結構可做爲盈餘品質的預測指標，但盈餘品質好壞並不能影響公司治理結構，且董事會結構與盈餘品質的關聯性存在著非線性，董事會結構帄方對盈餘品質的影響顯著爲正，代表董事會越大與董事會越小，對盈餘品質的增進效果爲正，說明了大董事會可充分監督管理者的操縱行爲，小董事會則事權集中，管理者也不敢率爾輕易操弄損益。

We discuss the condition whether the earning quality will influence for IPO anomaly return or not? And can the effect pass over the corporate governance? We select the wholly data of new listing firms during 1998 to 2005. The conclusion is fact that the good structure of governance is well-predict indicators of earning quality. But the earning quality can not impact to governance structure. And the board structure is non-linearity related to earning quality.
The answer is explained that the board scale can full of monitoring to earning management.
