從比較法觀點探討我國金融服務法制之整合

摘要


隨著金融環境改變,對於利率、金融業務等管制逐漸放寬,金融自由化加速進行,金融國際化發展更為快速。通訊與資訊科技之革新引入金融活動中,帶來各式各樣的金融創新,促進金融機構之發展,改變金融體系原本樣貌,產生金融現代化過程。直接金融比例逐年提升,間接金融業務成長相對降低。為滿足消費者需求、增強自身競爭力,金融機構莫不致力於開發新業務,多元化經營成為主流,並促使金融機構間進行合作、整併,以達最適規模、產生經營綜效,大型金融集團相繼而生。隨著業務經營之擴展、加以越趨複雜之商品與服務設計,過去涇渭分明之金融機構與金融業務逐漸難以辨明。面對著瞬息萬變之金融體系,世界各國也在「管制」、「解除管制」、「再管制」一連串過程中,尋覓最合於國情之金融監理方式,以提升金融監理之有效性,達到金融秩序安定、防範金融危機等監理之目的,進而加強經濟競爭力,世界各國掀起對金融監理體系之改革風潮,或重新建構監理機關之組織架構,或修訂廢除舊有法規、制定新金融法規,或提出新監理模式與風險管理方法,以反應金融機關之實務運作現況,產生金融監理現代化過程,而有金融法規一元化之概念提出。 我國於2004年成立一元化金融監督管理機關,雖有助於提升監理政策之規範與執行的效率與效用,然各業相互介入彼此業務領域,發展出複雜多樣之商品與服務等市場面變化所產生之法律面問題,尚須加以全盤檢視、重新調整,設計出符合時宜,且具前瞻性之法規架構。本文認為有必要制定一部整合各業法令之金融監理法規,以簡化重複規範並提升法令適用之簡易性及清晰度、避免法規套利、給與消費者與投資者相同之保障,營造公平競爭環境與維持市場秩序。參酌英國、日本和韓國之發展經驗與我國過去規劃之草案,現階段改革應以循序漸進方式較為妥適,在維持現行監理模式下,應先針對市場自律、主管機關之監督管理、資本適足性之金融機構監理三構面上,有立法或修法急迫性者,進行法規之整合,認宜先制定各業基本母法,具體做法即繼續推動金融服務業法之制定,並加強對總體審慎性監理、金融服務業內部控制制度之執行、消費者保護等相關規定,思考整合現行多元之金融消費者爭議處理機制。

With the financial environment has changed the control of interest rates, financial business gradually relaxed, financial liberalization and financial internationalization rapidly accelerated. Communications and information technology innovation promote the development of financial innovation; change the financial system, resulting in the process of financial modernization. Direct financial became more important, on the opposite the growth of indirect finance reduced. To meet consumer demand and enhance theirown competitiveness, financial institutions commitment to the development of new business, so diversification is into the mainstream. Financial institutions also promote cooperation between financial institutions, resulting in a large financial con- glomerate successively born. With the expansion of business operations, goods and services to be increasingly complex, entirely different financial institutions and fina- ncial services are gradually difficult to discern. Confronting this rapidly changing financial system, the world is under "regulation" and "deregulateon" and "regulation", and looks for most suitable financial supervision for the national conditions. In order to achieve financial order stability, to prevent financial crisis happen, strengthen the economic competitiveness, every country around the world set off a wave of reform of financial supervision system, re-construct the organizational structure of the supervisory authority, amendments to repeal the old regulations, proposed new supervision model or approach to risk management, resulting in the modernization process of financial supervision. In year 2004, Taiwan set up am Integrated Financial Sector Supervision. Although the specification and implementation of the supervision policy enhance the efficiency and effectiveness, the financial institutions mutually involved in each other's business areas, the more complex and more diverse Financial goods and Financial services in markets make many legal points, so we have to be holistic view, re-adjust the design to meet the appropriate, forward-looking regulatory framework. This article believe that we should have develop an integrated financial regulation, so that we can simplify specification by reducing the repeat specifications and enhance the decree for simplicity and clarity, to avoid regulatory arbitrage. Besides, we can give the same protection for all consumers and investors to create a fair competition environment and maintain an orderly market. To reference United Kingdom, Japan and Korea's experience and our own draft, this article think we should reform step-by-step, maintain currently supervision model, to aim the law which is on the urgency of legislation or amending, and integrate the law. So we have to make the basic law for all financial institutions, that is to promote the financial services institution law draft into law. Meanwhile we should pay attention on strengthening macroprudential, the implementation of the internal control system in the financial services institutions, consumer protection
