兩岸現行企業併購法制下股東與勞工權益保障之探討

摘要


近年來隨著經濟的發展,兩岸前後掀起企業併購的熱潮,在可預見的未來,跨兩地的併購交易勢將更加興盛,此時於企業中地位屬於弱勢,但為數甚多的員工與小股東,在這資本的遊戲中可能會面臨權益大規模變動,在變動中該如何確保及救濟其權益將是重要的課題。而對企業而言,在瞬息萬變的市場中,如何藉由併購在競爭對手中脫穎而出,又能妥適處理勞工與小股東之權益也是一個困難的議題。 本文架構乃擬經由相關法規、文獻回顧以及實務案例的分析,對兩岸併購法律體系的現況進行探討,並涵蓋兩岸企併法制之沿革趨勢、市場進入之限制等有關制度,對於股東與勞工權益之保障機制做分析比較。 本文之撰寫,乃期望對未來在企業併購過程面臨權益變動的弱勢方,能貢獻淺薄之建議,以及做為可能立法方向之參考。欲達到之研究目的如下: 一、比較台灣與中國併購制度之規範架構與運作方式之異同。 二、探討兩岸企業併購規範下對股東與勞工權益保障制度得互為借鏡之處。 三、藉由案例分析評估現行企業併購制度所存在之缺失與改進之思考方向。

Following the economic development of recent years, the business of mergers and acquisitions of the two sides across the Taiwan Strait is growing sharply. In near future, we can predict that there will be more and more M&A between Taiwan and China. However, the vulnerable members of the corporation like minority stockholders and labors will face much risk in the money game. That is a serious issue. Certainly, based on the efficiency point of view, to find an equilibrium point between benefit of enterprise and interest of shareholders and labors is more difficult. Therefore, the infrastructure of this thesis is composed of literature analysis, including the legislation, cross-strait scholars journal papers, practical judgment and case study. The researchful objective is (1) Compare the difference of legal system in the two sides across the Taiwan Strait. (2) Evaluate the advantage of the M&A institution between Taiwan and China. (3) Investigate the deficiency according to case study. As a result, I look forward to dedicate some valuable essence of the proposal for the protection of the rights of shareholders and labors for mergers and acquisitions.
