摘要

經濟全球化之下，許多國家不斷進行海外併購活動，但由於美國次貸危機爆發，全球併購於2009年大量下降，相比之下中國併購市場顯得較為活絡，中國在全球併購交易中的角色已愈加重要。
　　本研究採用文獻分析方式，認為中國政府推動國有企業進行海外併購是依據國家戰略目標，主導企業進行跨國併購及發展方向，中國政府更藉由其國家政策，幫助國有企業進行跨國併購。
本研究發現，中國政府推動跨國併購，希望藉以取得海外資源、先進技術和管理方法、開拓海外市場以及避免貿易障礙等經濟和經濟以外的動機。為了增進國家利益、維護國家安全以及促進國家發展，多以礦產能源、高科技業以及製造業為主要的類別。

Under the economic globalization, many countries continue to carry out overseas mergers and acquisitions activity, but because of the outbreak of the U.S. subprime mortgage crisis, global mergers and acquisitions in 2009, a large margin, contrast the Chinese M & A market seems to be rather active role of China in the global mergers and acquisitions have beenincreasingly important.

This study, literature analysis of the way that the Chinese government to promote the state-owned enterprises overseas M & A cross-border mergers and acquisitions and the direction of development is based on the national strategic goals, leading enterprises, the Chinese government by the national policy, state-owned enterprises to carry out cross-border mergers and acquisitions.

The study found that the Chinese government to promote the cross-border mergers and acquisitions, in order to obtain overseas resources, advanced technologies and management methods to open up overseas markets, and to avoid obstacles to trade and other motives other than economic and economic. In order to promote the national interest and the interests of national security and the promotion of national development, multi-mineral energy, high technology, and manufacturing as the main category.
