價金履約保證制度架構下不動產交易風險之研究

摘要


土地、房屋、乃民生的基本需求,是國家的生存命脈也是保存財富的重要方式。然而,不動產個別差異性大,很難建立公開市場、相關法令繁複、專業性高,從統計資料顯示,不動產交易紛爭頻率年年獨居鰲頭,據台北市地政處2010.08.31,及高雄市地政處96年1至6月公布之不動產消費爭議態樣顯示,仲介業所佔比率最大,故對於交易秩序的維繫與紛爭之防範,仲介業者推出「價金履約保證制度」,以茲改善。 本研究透過文獻資料及次級資料分析,針對不動產發生爭議原因、買賣雙方顧慮因素、實例個案分析,並就一般買賣流程與價金履約買賣流程做比較,且蒐集相關爭議實例評估現行解決紛爭之制度優缺點。 研究結果發現: 1. 制度面建構不完善。 2. 我國現今法制上除訴訟外之不動產紛爭處理機制,法律效果不同消費者並不清楚。 3. 現行履保制度僅保障「價金」、「產權」,不含物的瑕疵、權利瑕疵。民國90年施行之行政程序法使「建築經理業管理辦法」全面失據。 4. 價金履約保證廣泛為消費者喜愛,常主動要求承作,可見市場上對此制度需求迫切。 本研究認為預防勝於治療,而價金履約保證確實贏得消費者歡迎,應正視其重要性,並提出思考方向及未來改進建議。

According to the statistics of real estate trading disputes from district lands offices of Taipei and Kaohsiung, realtor industry have contributed the largest proportion of trading disputes to the market of real estates. In order to ensure the transactional safety and prevent investors from having tussles over real estate trading, ESCROW is introduced in realtor industry to mitigate the problems associated with real estate trading disputes. This study first analyzes causes of real estate trading disputes, the critical factors concerned with by the traders, and the real cases occurred in the past years. Then, this study compares the general procedure of real estate trading with that of ESCROW, and evaluates the relative advantages and disadvantages of current dispute solving system by analyzing the cases in practice. The consequent results of this study are as follows: 1. The current system of dispute solving has been constructed inappropriately. 2. Investors do not understand the implications with regard to the current real estate-related laws. 3. The coverage of ESCROW includes only the price and the property right, but not the drawbacks in the properties and the rights. 4.ESCROW has been widely employed by the real estate traders. This apparently reveals the urgent need in the market.
