摘 要 本文以1990-2004年間在美國發行之普通股票與債劵檢驗承銷商與發行公司關係對承銷費用的影響。當特定公司與特定承銷商建立關係財,就發生Williamson所謂的基本轉變,與發行公司有關係的承銷服務和與發行公司沒有關係的承銷服務的收費決策將因為交易成本的差異而有不同。先前研究指出承銷商與發行公司之間的配對選擇並不是隨機的,會受承銷商和發行公司的特徵影響。這樣的情形恰如工會所屬工人與非工會所屬工人工資的決策,因此我們修正Lee (1978)研究工會所屬工人工資與非工會工人工資的方法,把承銷商與發行公司之間的配對內生化並檢驗承銷商與發行公司有關係的承銷服務和承銷商與發行公司沒有關係的承銷服務收費的差異。實證後我們發現當廠商要發行比較長期或者信用評等較差的債劵比較會選擇由有關係的承銷商承銷,且由有關係的承銷商承銷的債劵收取較高的承銷費用。當廠商發行股票時,募集金額愈高或公司資產報酬率愈高愈會選擇有關係的承銷商承銷,且由有關係的承銷商承銷的股票則支付較低的承銷費用。
Abstract We examine the pricing of intermediation services with “lock in” for debt and common stocks over the 1990-2004 periods. We used a framework that controls for the endogenous matching between issuers and underwriters, which explicitly accounts for self-selection in estimating the price of underwriting services. We find that the common stock offers with more elastic more like to loyalty, and loyalty is associated with lower gross spreads and no-loyalty is higher gross spreads. But the pricing of bond underwriting service is major dominant on the underwriter.
