摘　要
合約是交易中最基本的管理機制，技術性合作可以被視為是一種交易，雙方當事人各自擁有自己的權利與義務，並在此中獲利與付出。在今日的社會中大學與產業之間的合作正在興起，且被視為是促進經濟發展的捷徑。許多政府將產學合作列入他們的科技政策中。事實上，根據證據顯示，正確地使用產學合作政策可以為其帶來各種利益，例如新奇產品的創造、就業機會的增加、學術研究的實用化、及國家競爭力的提高。
我國目前設有育成中心的大學已經超過六十所，國科會每年補助大專院校從事產學合作的件數亦有數百件，而各大學與技術學院與產業從事技術合作的研究計畫更是不計其數。雖然各計畫執行單位已有現成的產學合作合約，但多半屬於制式通用的合約。在某些特定領域的產學合作上，不是因為沒有從事這類的合作而不需要特定的合約，或是修改通用的制式合約而勉強使用，僅有少數學校設計專門的合約。
本研究的焦點放在大學與產業間從事各種合作研究情境的合約。類似的研究在國內目前是罕見的，僅有一些片斷的文章。本研究將有系統地收集有良好經驗之美國大學的各種產學合作合約。當這些合約收集完成，分析者開始分解每一項條款並將其法律上的含意轉變為類似地與內含地管理含意。當每一項合約條款的管理含意被轉換後，接下來開始進行整合的工作，將區分為每種合約都會出現的共同條款，與屬於特定種類合約的特定條款。最後本文會提出一份檢核表解釋如何起草與建構一份合作性的合約，作為理論的架構與實務的運用。

Abstract
The agreements are the most fundamental management mechanism in transaction. The technical cooperation may be regard as a kind of transaction. In this process, both interested parties have their own rights and obligations to make contributions and receive profits. In today’s contemporary community, the technical cooperation between the industries and the universities are rising and developing, and are regarded as a short cut to promote the economic development of the society. Many governments have filed the industry/university cooperation into their science and technology policies. In fact, the evidences have indicated that various kinds of profits can be obtained by correctly applying the industry/university cooperation policy, for examples, the creations of novel and new products, the increasing opportunities of employments, the practical utilities of academic researches and the improvements of national competition.
There are more than 60 universities in our country which have established the incubator center. The National Science Committee provides hundreds of financial supports to the colleges and the universities to devote to the industry/university cooperation. Moreover, the cooperation plans between each university/college and the industry are so much as uncountable. Although, each organization which executes the cooperation plan has its own industry/university cooperation agreement form already, most of them have the style for the general, formal and common applications. In several specific areas of industry/university cooperation, the situation is either no need of this kind of specific agreement form due to no related cooperation executed, or to modify the general, formal agreement with an effort to fit the special applications. Therefore, it is found that only few universities design a special agreement form for this kind of applications.
This study focuses on the agreement contents of dealing, with various circumstances, in research cooperation between the universities and the industries. Similar studies are rarely in the domestic, only fragmentary articles found. In this study, the university/college cooperation agreements from those American universities with good experiences in this area are systematically collected. As the agreements collection process has completed, the provisions in the agreements are analyzed and decomposed, and their legal meanings are transformed into equivalent and inherent managerial implications. When the transformation is accomplished, the integration work follows. In the integration task, the provisions basically founded in all agreements will be separated from the specific provisions for the specific agreements. Finally, a checklist will be proposed to show how to draft and construct a cooperation agreement, which will be the theoretical frame and the practical utilization.
