從公司治理觀點論股東提案制度

摘要


隨企業經營模式日趨複雜,企業所有與經營分離之趨勢亦更加明顯,股東會因人數眾多、股東意見不一,有集體行動困難(collective action problem)之問題,是以現代公司法之架構,多將經營權與決策權賦予董事會,目前公司法制上股東會、董事會與監察人間相互制衡之機制有遭濫用或失衡之可能。而股東提案制度使少數股東有機會表達其對公司營運政策之意見,並說服其他股東於會議中支持其所提之議案,不但有助於提高股東參與公司事務的意願,也有監督公司經營者之間接功能。因此,如何進一步完善與強化公司法制上的少數、單獨股東權,以加強股東對公司經營決策權之參與,實為目前公司治理之重要課題,而賦予股東適當介入公司經營之權利有助於公司治理的落實。 本論文共有七章,第一章為緒論。第二章則係探討股東提案制度與公司治理之接軌,希望能透過股東行使提案權來提升公司治理之目的。第三章係介紹美國法上已行之有年之股東提案制度。第四章則係介紹日本法上股東提案制度,將日本有關股東提案制度修法前、後規定、學者意見,以及日本運作股東提案制度上所曾遭遇之問題加以說明。第五章從公司治理角度探討我國股東提案制度相關問題,就我國現行股東提案制度加以檢討,提出改善觀點。第六章係介紹我國股東提案之首例,先說明股東提案背景外,其次說明因此而衍生之相關股東提案問題。第七章為論文結論。 在追求公司治理的世界潮流下,良好的公司治理無疑是公司競爭力的泉源,參照學者見解及外國立法法例,對我國股東提案制度提出建言,期使股東提案制度早日步上正軌,讓股東能更積極參與公司經營,與公司經營者共同追求公司價值之極大化。

With the gradual complication of the enterprise operation model, the separation between enterprise ownership and operation becomes obvious. The conference of shareholder has collective action problem because there are many people with different opinions. Therefore, the structure of nowadays company mostly gives ownership and the right of decision making to the Board of Directors. It is possible that legally, the mechanism of control between the conference of shareholder, the Board of Directors and auditor in present company is overused and loses balance. The proposal system makes some shareholders give the opinion of company’s operation policy and persuades other shareholders support the proposed draft. This not only helps to enhance the willing of shareholder’s participation in company affairs but also provides the indirect function of supervision between company managers. Therefore, how to make further and augment the minority and single shareholders’ equity and enhance shareholder’s participation of the decision-making in company operation is the main theme of present Corporate Governance. Giving shareholders the appropriate right of company operation assists the implementation of Corporate Governance. Seven chapters are in the present thesis. Chapter one is introduction. Chapter two discusses shareholder proposals and the connection to company administration, hoping to increase the purpose of Corporate Governance by enacting the right of proposing. Chapter three introduces shareholder proposals in America Law. Chapter four introduces shareholder proposals in Japanese Law. Laws before and after amending about shareholder proposals, scholar’s opinions, and problems that incorporating proposal system ever met are explained. Chapter five discusses relevant issues of shareholder proposals in Taiwan from the view of Corporate Governance: reviewing the present proposal system and providing solutions. Chapter six discusses the precedent example of shareholder proposals in Taiwan. First, it states the background of the shareholders and then illustrates the extending problems about shareholder proposals. Chapter seven is conclusion. With the world trend of Corporate Governance, good Corporate Governance is undoubtedly the source of company competency. With reference to scholar’s view and in foreign countries, suggestion to Taiwan’s shareholder proposals is provided, and proposal system on the right track is expected. It is also our goal to make shareholders participate the operation of the company and pursue maximum values with company operators.
