理念共識對合夥企業的重要性

摘要


台灣的創業人口日益增家,造成就業與創業的比例逐漸形成拉鋸戰。本論文想要在這個眾人都想要創業的土地上,以合夥為主題,利用實際案例探討合夥創業的優勢,讓有無創業經驗的人都可瞭解合夥的優勢,擬定出一份可以成為基礎創業的參考資料,有效降低合夥創業失敗的風險。 本論文以專家訪談法探討合夥創業相繼浮出的問題,探索理念共識對於合夥事業的重要性。本研究訪談三位具有15年以上經驗的創業家,從過往自行創業走到合夥創業所經歷的事件,分析合夥創業的優缺點。三位創業家在創業過程中因合夥而發生的共同問題,歸納整理後可以提供未來創業的新鮮人參考。具體而言,增加合夥成功的幾項重要觀念包括: 1.合夥創業需要找到理念共識的人; 2.不論關係為何,一定要簽訂合夥契約; 3.利潤分配與職責管理要清楚明確; 4.退場機制要特別載明; 5.股東最好可以全職經營及參與決策。

With the increasing number of entrepreneurs in Taiwan, the proportion of being employed and starting one’s own busines has gradually been equalized. This thesis wants to take partnership as the main topic to explore the booming entrepreneurial events in this land. By introducing real entrepreneurial cases of partnership, this thesis will examine the advantages of partnership so as to provide suggestion to those who are either experienced or inexperienced entrepreneurs. Those who are interested in starting ones’ own business could then draft a basic new business development plan to reduce the risk of partnership failure. In this paper, expert interviews are used to study the early emerging problems of partnership entrepreneurial business. Three entrepreneurs with more than 15 years of experiences, from sole proprietorship to partnership, of starting up new business are selected to analyze the advantages and disadvantages of partnership business. Problems arising from partnership in the process of starting up new businesses are discussed among the three interviews. Their suggestions could be referenced by first time entrepreneurs. Specifically, some important ideas to increase the possibility of success for partner entrepreneurship are as the following: Several important concepts that can increase the success of partnership are put forward 1. Partner entrepreneurship needs to find people with consensual mind-set; 2. No matter what the relationships are among partners, a partnership contract must be signed; 3. Clear profit distribution and responsibility management is needed; 4. The exit mechanism should be specifically stipulated; 5. Partners had better involve in operating and making decisions on a full-time basis.
