台電公司與民營電廠購售電合約法律關係之探討─兼論公平會對民營電廠聯合行為處分案

摘要

電力供應在國家能源政策及國家安全佔極重要之地位，其不僅是民生必須用品，在各方各面亦深深影響國家安全及經濟發展。目前台灣電力公司（以下稱台電公司）為我國最早成立的電力公司，也是僅有的一家綜合電業，屬國營事業，直至電業自由化政策開始推行後，方有民間業者參與發電業。
為提高電力備用容量率，避免限電危機影響工業生產甚至危及國家安全，我國政府於民國80年代期間強力推動新電源開發計畫；因此，開放並邀請民間業者參與電業之發電行列。惟台電公司與民營電廠簽訂「長期購售電合約」受能源政策及公法原則影響極深，導致私法合約與競爭法間發生衝突，造成後續修約期間極易發生聯合行為合意之情事，並遭公平交易委員會（以下稱公平會）於民國102年3月15日以9家民營電廠聯合拒絕台電公司所提購售電費率調整機制，已違反公平交易法規定之聯合行為，對9家民營電廠處以合計共63.2億元之罰鍰。
本文擬從台電公司與民營電廠間購售電合約出發，除進行台電公司購售電合約法律關係之研究，亦探討公平會對民營電廠聯合行為處分案。

Power Supply accounts for a very important positionin the national energy policy and national security. This is not only the livelihood of essential supplies, but also deeply affecting national security and economic development in all sides. The Taiwan Power Co.(Taipower) is the first and only one integrated electric industry and it's a state-owned enterprise. After the electrical industry began implementing liberalization policies, there were private operators to participate in power generation.
In order to improve power reserve Margin and avoid power outages to affected the industrial production and even endanger national security, our Government strongly promote the development of Power Development Plan in the 1990s. With the policy of reformation and opening, Taipower invited private sectors participating in power generation. However, the long-term power purchase agreements (PPAs) signed with independent power producers (IPPs) by the incumbent power utility affected deeply by the energy policy and the principles of public law. It led to a conflict between the private law contracts and the Taiwan Fair Trade Act (TFTA) and easily violated cartel during the follow-up. On March 15, 2013, the Taiwan Fair Trade Commission (TFTC) imposed a record fine of 213.08 million ($6.32 billion NTD) on nine IPPs for collusion after the breakdown of several price renegotiations between Taipower and the nine defendants by breaking the TFTA.
This essay will explore the legal relationship of the Power Purchase Agreement between Taipower and the nine IPPs and analyze the TFTC's decisions in the cartel of IPPs.
