摘要

由於歐洲各國的公司治理相關法令、文化傳統與企業文化的不同，導致了各種不同的企業文化，而「公司犯罪」卻在各國盛行。公司犯罪不僅使社會大眾對於企業與資本主義失去信心，更嚴重傷害了公司本身的形象，公司也常利用其擁有的名聲與財力影響立法與執法，造成官商勾結的事件時有所聞。
2001年美國安隆公司財務弊案(Enron)爆發後，嚴重打擊投資人對資本市場的信心，2003年歐洲也爆發了所謂的歐洲版安隆案，義大利Parmalat 公司財務弊案的爆發導致投資人人心恐慌與對於市場失去信心，不僅促成歐 盟的公司治理改革，而且也迫使義大利進行公司治理改革。義大利公司治理制度對於國內仍相當陌生，本文主要以義大利Parmalat公司弊案為例，檢視對於歐盟與義大利公司治理改革的影響，並且探討義大利目前的公司治理現象與重整後Parmalat公司之治理情況，以此案例反思全球化公司治理制度之意義。
公司治理很重要的是經營者必須面對責任、受託責任、對股東和大眾的 資訊揭露，審計及控制機制。公司負責人應該遵守各方面的原則，使投資人與利害關係人得到公平的對待，如此一來才能獲得投資人的信任與獲得市場資金，確保公司能長期經營。公司治理的關鍵在於董事會、財務透明化、經營管理者的誠信與內部稽核的落實。

The Enron scandal in the USA has also widespread to European Countries. The Parmalat scandal happened in 2003 in Italy and had a great impact on the investors’ confidence. The Parmalat scandal led to corporate governance reform not only in Italy, but also in the EU. This essay works on the Parmalat scandal in order to explain its background and its influence on the corporate governance reform in Italy and in the EU. This essay also rethink of the significance of the global corporate governance.
