為追求規模經濟及範疇經濟,許多金融業者嘗試進行金融整合,以改善離散的市場結構,使得金融市場形成一股合併風潮,而此種現象恰可提供探討併購活動之絕佳背景。然金融整合被視為因應環境變動的適應策略,但在整合宣告後仍時有破局,因此本研究以金融業之併購活動為研究主題,期發掘影響併購活動之關鍵因素。 本研究透過產業及企業二層級發掘影響併購活動之前因,經文獻探討歸納出產業結構、模仿同形化、資源槓桿、互補性資源、經驗學習等變數為併購活動之關鍵考量因素,故安排質性及定量研究以驗證併購考量因素與併購活動間之關係。本研究之質性研究係採個案研究法共進行四個個案;定量研究則搜集金融整合宣告共獲致122個樣本,並以logistic迴歸建立併購決策模式,實證顯示模仿同形及互補性結合為促進併購活動的關鍵因素。
In order to exploit economies of scale and scope, the ongoing consolidation of financial institutions is one of the most notable contemporary features of Taiwan's fragmented financial market. Such consolidation efforts resulted in a wave of merger and acquisition (M&A) across the financial industry as well as implied the research significance to explore M&A activities in Taiwan's financial industry. M&A is a proactive strategy for adapting to new institutional environments; however, the negotiations always unexpectedly collapsed even after M&A official announcements. In recognition of this fact, this study investigates the antecedents critical to M&A activities in the financial industry. This study examined both industry-level and firm-level factors in relation to the antecedents to M&A activities. A literature review indicated that market attractiveness, mimetic isomorphism, leverage existing resources, acquiring complementary resources and firm's M&A experiences were factors critical to M&A activities. Hence, this study developed qualitative and quantitative techniques to assess the relationship between these critical factors and M&A activity. Qualitative research utilized a case study approach and analyzed four cases. Quantitative research identified the data of M&A announcements for the financial industry and acquired 122 samples, and a logistic regression model was then used to test hypotheses. The results determined that mimetic isomorphism and complementary combination played critical roles in M&A activities.
