本文主要之關切對象為電子商務時代中跨國B2C買賣契約的爭端解決問題。從傳統國際私法角度觀察,本文先從美國、歐盟等學說與實務出發,並兼及海牙國際私法會議草案,而回到我國現行學說與實務,討論此等契約之國際管轄權決定問題。其次,就準據法之決定,本文亦就此等跨國B2C賣賣契約之特殊性,討論其契約成立與生效問題,以此進行國際私法上此等契約之準據法決定討論,並指出此等準據法決定之困難。因此,本文最後跳脫對於此等契約之爭端採訴訟解決之框架,討論採行線上爭端解決(ODR)機制之可行性,並分別指出其優缺點,以此作 為解決跨國B2C買賣契約爭端的另一可行方案。
The major concern of this article is the possible dispute resolution of B2C E-Commerce Contract. First, beginning from the theory of private international law, this article discusses the American and European doctrines and practices, and the proposal of HCCH about the international jurisdiction. Moreover, it also discusses the doctrines and practices in Taiwan. Secondly, this article focuses on the difficulties for deciding the applicable law of such a contract, by retracing to the specific nature of E-Commerce. Thus, finally this article proposes that the online dispute resolution (ODR) would be a proper solution for the disputes resulting from such a contract, simultaneously analyzing the advantages and disadvantages of ODR.
