我國秘密保持命令制度之探討

摘要

21世紀是知識經濟風行的時代，國家的經濟發展與企業的永續經營，決勝點就落在無形的智慧財產權之上，而智慧財產權過去以專利權、商標權、著作權較為人所知悉，然，自我國的產業結構，從過去單純的代工階段，逐漸走向自主研發的境界時，前揭的權利保護，已趕不上產業的急速變化，同時為了因應WTO及TRIPs規定之要求，我國對於新興之無體財產權「營業秘密」，於1996年1月17日制定通過「營業秘密法」全文共16條。該法施行數年來，隨著全球經濟局勢的瞬息萬變，智慧財產權保護觀念的提升及貿易型態的千變萬化，邇來，在科技業界，因商業間諜或離職員工將營業秘密不當取得、利用，二造對簿公堂興訟，訴訟中如將營業秘密資訊公開，勢必造成二次傷害及不利產業發展，因此，於2007年制定智慧財產案件審理法，其中「秘密保持命令」制度即應運而生。

The 21st century is an age when the knowledge-based economy is popular. The country's economic development and the sustainable management of the company are determined by the intangible intellectual property rights. In the past, intellectual property rights were better known as patents, trademarks, and copyrights. Since our country's industrial structure gradually moved from a simple foundry phase to a self-developed realm, the protection of rights previously disclosed has not caught up with the rapid changes in the industry. At the same time, in order to meet the requirements of WTO and TRIPs regulations, China's emerging The intangible property rights ＂Trade Secrets＂ was enacted on January 17, 1996, and a total of 16 articles on the ＂Trade Secrets Law＂ were passed. In the past few years since the implementation of the law, with the ever-changing global economic situation, the improvement of the concept of protection of intellectual property rights, and the ever-changing trade patterns, there are still ambiguous and unclear definitions and applications of the business secret law in practice or academic circles. There are ambiguous areas. In the technology industry, business secrets or resigned employees improperly obtain and use business secrets. The two companies make lawsuits. If the business secret information is made public in the lawsuit, it will inevitably cause secondary harm and unfavorable industrial development. Therefore, in 2007, Intellectual Property Case Adjudication Act was enacted, in which the ＂confidentiality preservation order＂ system came into being.
