評析『財團法人原住民族文化事業基金會設置條例』第10條、第16條及第17條條文修正草案

A Study on the Draft Amendment to the Act for the Establishment of the Indigenous Peoples Cultural Foundation

摘要


根據行政院『財團法人原住民族文化事業基金會設置條例』修正草案第10條第2項規定:「董事、監察人任期屆滿而不及改聘時,延長其職務至新聘董事、監察人就任時為止。」雖然能避免發生人事空窗期之窘境,卻也可能招致提名機關之恣意妄為,殆於及時提名,或刻意不提名適當人選,以遂行其延長現任董監任期之目的,乃建議修正董監之任期與總統及立法委員同為4年,俾使人事提名及同意得以同步進行,降低衝突;並改採任期交錯制(修正後第一次任命之董事5至7人,監察人1至3人之任期為2年;即建議修正草案第10條第1項),以免發生人事空窗期,而刪除前揭草案第10條第2項。又,現行任命執行長及副執行長之規定與『公共電視法』第22條規定相當;且無窒礙難行之虞,爰建議仍以繼續維持現行規定為宜,而無採納草案第17條第1項之必要;但建議修正同條末項規定,經董事會同意後,正副執行長得從事或投資其他事業,以利延攬優秀人才,並使人能盡其才。另為使董事會之出席及決議門檻之計算更為明確,建議另外提案修正第12條第3項規定,以現任人數為計算基礎。

Although Paragraph 2 of Article 10 of Executive Yuan's Draft Amendment to the Act for the Establishment of the Indigenous Peoples Cultural Foundation would be able to avoid a "personnel window period," it might lead to the abuse of power on the part of the Executive Yuan. This paper therefore suggests that part of this Draft Amendment be revised, as prescribed in the paper. The Draft Amendment also adopts very stringent provisions for recruiting CEO and Deputy CEO, which are much more impractical than the existing ones; since it is a basic idea to recruit capable elites to serve as CEO and Deputy CEO, it would be better for them to be allowed to engage or invest in other businesses. In addition, to enable the Board to calculate threshold for passing resolutions, it is also suggested to revise Paragraph 3 of Article 12, that is, the calculation being based upon the number of incumbents.
