主辦機關與金融機構在BOT工程興建階段合作模式之初步研究

A preliminary study on cooperation model of Build-Operate-Transfer between the financial institution and the authority in charge

摘要


BOT計畫案能否順利完工,繫之於民間機構是否依照投資執行計畫書將資金投入興建階段。融資機構能否順利收回專案融資,亦視民間機構是否按照興建計畫如期完工、進入營運階段產生收益,用以償還專案融資。主辦機關與融資機構對於民間機構是否如期完工具有一致的利益,雙方應該合作使BOT計畫案之興建階段如期完工。 為確保民間機構將專案融資全數投入BOT計畫案之興建階段,融資機構應做好貸後管理的工作。除了依照計畫進度撥給款項外,應該與主辦機關合作,建立聯繫機制與管道。例如要求民間機構在申請動撥時,必須取得主辦機關之同意,以免民間機構挪用專案融資。主辦機關對民間機構處以一定金額以上的違約金時應通知融資機構,使融資機構掌握民間機構之履約情形。興建期間另應要求民間機構委任經融資機構同意之會計師為簽證會計師,查核興建營運帳戶內之資金流向、民間機構有無挪用資金之情形。融資機構發現民間機構異常提領興建營運專戶內之款項時,應聯繫主辦機關、洽詢主辦機關之意見,查明是否確為計畫進度所需。   主辦機關為了達成BOT計畫案如期完工之目標,除了要求民間機構在申請階段提出金融機構的融資意願書外,應該考慮邀請金融機構參加評審階段接受備詢,瞭解BOT計畫是否有自償能力與可行性。在興建階段應該更積極地協助融資機構做好貸後管理的工作。民間機構如果重大違約或與承包商之契約有不合理的交易條件時,應要求民間機構說明原委並且通知融資機構,讓融資機構要求民間機構修改與承包商之契約,避免民間機構利用不合理的付款條件變相超額撥貸、挪用專案融資。

Whether the BOT project can be successfully completed as planned depends on the private institution put the fund into the BOT project as the investment execution proposal. Whether the financing institution can be fully repaid also depends on the private institution completes the BOT project on schedule and enters into the operation period to generate revenue to repay the project financing. The authority in charge and the financing institution have the same interest in whether the private institution will complete the BOT project as scheduled. Both parties should cooperate to complete the building period of the BOT project as scheduled. In order to ensure that private institution puts into all the project financing in the construction of the BOT project, the financing institution should play his part well in post-loan management. In addition to drawdown in accordance with the progress of the BOT project, the financing institution should cooperate with the authority in charge to establish contact mechanisms and channels. For example, the private institution shall be required to obtain the approval of the authority in charge when drawdowning certain amount or above of the financing project, to prevent private institution from misappropriating project financing. When the authority in charge imposes a penalty of a certain amount or above on a private institution, it shall notify the financing institution so that the financing institution enables to grasp the performance of the private institution. During the construction period, the private institution should also be required to appoint a certified public accountant approved by the financing institution to check the flow of funds in the construction and operation account and whether the private institution has misappropriated the funds. When the financing institution finds that the private institution abnormally withdraws the funds in the construction and operation account, it should contact the authority in charge and consult it to check whether it is necessary for the use of the BOT project. In order to achieve the goal of completing the BOT project on schedule, the authority in charge should not only ask the private institution to submit a financial institution ’s financing willingness letter at the application stage, but it should even consider inviting the financial institution to participate in the review stage for consultation, to understand whether the BOT project is self-financing its investment and feasibility. In the construction period, the authority in charge should more actively assist the financing institution to do post-loan management well, requesting the private institution must obtain the consent letter from the authority when the private institution drawdown the financing project. If the private institution breaches the contract or transaction conditions of the contract with the contractor are not reasonable, the authority in charge should ask the private institution to explain himself and notify the financing institution, so that the financial institution can request the private institution to amend the contract with the contractor to prevent the private institution from using the unreasonable payment terms in disguise of over-drawdown and misappropriation of project financing.
