摘要

二十一世紀全球化浪潮下，企業面臨無國界的激烈競爭，由於客製化的需求及全球化的競爭趨勢，為了快速反應市場變化與滿足客戶需求，企業多以併購(Mergers and Acquisitions, M&A) 與策略聯盟方式整合企業間價值活動與資源，因此，「服務導向」被認為是二十一世紀的主流商務模式。
在「服務導向」與「顧客導向」的運作環境中資訊技術扮演非常重要的角色，由於各企業資訊系統的異質化，因此企業間如何整合成為鬆散偶合的虛擬關係，是面對多變的經營環境最重要的關鍵。企業間整合可分為三個階段：資訊整合、系統整合與流程整合。資訊整合為企業間整合的基本工程，將會影響系統整合與流程整合，甚至影響企業併購的成敗。
本研究以台灣資訊電子產業為例，針對國內兩個電子業大廠間併購後，雙方在研發與採購資源統合上進行資訊整合為例，提出以本體論為基礎的鬆散偶合虛擬關係之服務導向資訊平台整合方法，以雙方進行料號整合與建構自動化物料清單系統等實例，對於導入動機、背景、過程以及整合功能等進行分析探討，期望能提供其他企業間進行併購時在資訊系統整合導入時的參考。

In order to quickly response to the market changes and meet customer demand, “Mergers and Acquisitions” is the target for the strategic alliances between enterprises. Therefore, the "Service-oriented" is considered the mainstream of the twenty-first century business model.
In Service-oriented operational environment, information technologies have been widely used. However, as a result of the system heterogeneity, enterprise integration becomes a key factor for the success of loose decoupled virtual relationship. Enterprise integration mainly includes three steps: information integration, application integration and process integration. Information integration is the foundation of the strategic alliances between enterprises. Because it will affect the result of application, process integration and the effectiveness of the M & A enterprises.
This research draws on the method of case study. The subjects of the case study are two of the leading manufacturing company at Taiwan. It is proposed a loosely decoupled service-oriented virtual relations information platform by using the ontology theory for the item integrated as an example. Meanwhile, an automated generation bill of material module (AutoBOM) was developed. Expect to be a best practice for future other enterprises reference.
