自國際反貪腐規範之發展論企業應遵循之誠信與倫理原則-兼論我國於國營事業反貪腐規範之借鏡

摘要
企業誠信不僅是企業競爭力及發展的指標，也是民眾對企業信任及期待的關鍵所在，事實上，對人民而言，難以期待一個貪腐的企業會有良好的經營表現，換言之，一個不廉潔的企業，其後果是人民對企業的信任程度下降，人民的投資意願自然低落。筆者於台灣西門子實習的時間，瞭解到西門子鑒於因過去公司營運的不當行為，在被指控行賄受到《海外反貪污行為法》的處罰付出高額罰金代價後，如何利用支援服務工具重新建立完善的公司內控及法令遵循機制，再次重新贏回企業和民眾的尊重和信任。誠如西門子此種名列世界百大企業之林的國際企業皆能夠體認與意識到企業倫理與誠信不但是一項重要的議題，更是達成廉能企業不可或缺之核心要素。鑒於反貪腐（anti-corruption）已成為現代公司治理與經濟成長的一個中心議題。台灣的國營事業卻不斷爆發賄賂醜聞及經營效率不彰的問題，國營事業該如何推動公司治理？本文希望能夠同時點出國營事業所面臨的貪腐問題、國際上對貪腐議題所訂立的反貪腐規範，更盼求能夠從企業倫理和誠信的角度，進行更全面性探討貪腐議題發生的原因及解決之道。 本文主要分為三大主軸，於第二章介紹企業誠信的三理論為：(一)企業社會責任論(二)涉利者理論及(三)整合社會契約論。首先從企業的社會責任論，可以了解企業對社會究竟負有何種責任，企業如何對涉利者的權益獲得保障，企業除了為股東謀求利益外有還有其他社會責任嗎？接著我們將透過涉利者理論找出企業弊案的相關涉利者，誰在弊案中受害？誰又獲利？政府在弊案中有何作為？是否應要有作為？而法律能防止金融弊案的發生嗎？為何有了法律弊案還是發生，除了法律之外，是否有倫理存在的必要及空間？綜上，從涉利者理論的觀點論，弊案的相關角色即可獲得釐清。最後從整合社會契約論討論政府有何積極的作為以協助企業及社會大眾認識自己的權利及義務。接著於第三章分別介紹現今國際三大主要反貪腐策略與規範：(一)《海外反貪污行為法》(二)《英國反賄賂法》，並說明兩者最近於2012年底所頒佈的施行指南及(三) 《OECD反貪腐公約》所頒布的「公司治理原則」與「國營事業公司治理指南」。接著透過國際組織所頒布的貪腐印象指數和法務部於民國99 年台灣地區廉政指標民意調查點出台灣國營事業目前的貪腐狀況，再介紹台灣國營事業常見的貪腐情形並在文中提供一些企業面對該問題應思考的方向，並於最後說明西門子於實務上所建置之法令遵循控制規範框架(Compliance Control Framework)，透過其所點明之重大反賄賂貪腐議題及建議之控制標準，以供為國營事業之借鏡與參考。

Business Integrity is not only the index of Entrepreneurship Competition and development, but also the key issue for enterprise to build up the trust and expectation of publics. In fact, it is hard for publics to expect a corruptive enterprise can own nice operative performance. In other words, it will cause the decline of trust level in enterprise from public. Its investment willingness will drop dramatic. Author realized Siemens due to its past operative misconducts and was charged by violating (Foreign Corruption Practice Act) pay for huge amounts of penalties, and how to use supporting service tools to rebuild complete internal control and legal compliance system to win the respect and trust from publics. As Siemens this kind of top 100 multinational enterprises can realize and aware that Business Integrity and ethics are not only an essential issue but also the core value and factors to become a clean enterprise, Anti-corruption has already become a center issue of current corporate governance and economic growth. However, The State of Enterprises (SOE) keeps blowing out scandals and inefficient operating problems. How should SOE to facilitate the corporate governance? The article aimed at point out the corruption issues faced by SOE, then list out the international anti-corruption regulations and the principle and theory of business ethics and integrity, hope can go through these three different perspectives to do further and comprehensive discussion on the reasons and solve ways of corruption issues.
