有鑒於商業組織公司治理(Corporate Governance)之發展及落實,非營利組織治理之相關規範與研究並不多,然而其影響層面之重大性不亞於私人企業。以私立大學而言,其使命在於培育人才與發展研究,將影響國家整體發展。而且私立大學具有公共財之性質,若發生弊端或規劃不善,將影響深遠。是故,如何增進私立大學競爭力及妥善規劃,是其重要議題。而建立私立大學治理制度為增加其競爭力之方法。自我國加入世界貿易組織(World Trade Organization,以下簡稱WTO)後,大學除了面臨國內同業競爭外,還有國外學校來台招生或設分校之競爭壓力。又為因應全球化「教育產業」的趨勢,第二專長班、建教合作、專利管理、有償科技服務、研究成果轉投資等多樣化的經營模式,一再考驗學校財務經營、管理監督之運作機制是否完備、治理機制是否有效運作。遂萌生本研究之動機:在私經濟領域中近年來廣泛被討論之「公司治理」運用在具公共行政性質之私校是否有其適用?在興利、防弊方面有何因應措施。 本研究先探討企業公司治理制度之規範;在針對非營利組織法人治理現況做描述;最後以個案學校─中原大學為標的,檢視現有私立大學的治理機制是否完備,其是否仍存有改革之空間。此外,有關財團法人私立學校中原大學之治理活動的分析,屬於探索性的研究。研究採行文獻分析方法配合深度訪談和資料的研讀,以個人理解方式顯現其治理結構型態。 本研究在整理相關文獻及深度訪談後,彙總出下列幾點:(1)對私立大學而言,董事會應為全校治理之核心,以負受託管理之責,其負責對象為政府及社會大眾。(2)就學校內部治理組織方面來說,校長及校務會議為校務行政最高決策組織,其下所屬之行政會議及相關委員會負責實際執行面;而學術方面,採行學術自主、教授治理之觀念,由各院系(所)自行規劃整合,其體系下亦有院務會議及系(所)務會議議決其重要事項。(3)在內部治理之相關制度包括有,內部控制、內部稽核及自我評鑑。皆能使學校運作更有效率及效果。(4)相關私校治理之外部專業團體為:教育部、私立學校諮詢委員會、私立學校興學基金會、台灣評鑑協會、簽證會計師,教育部以獎助及補助為誘因,建立公私立大學校務評鑑計劃,驅使各大學將其校務制度化,檢視校內之治理是否適當。
Researches on governance of nonprofit organizations(shorter from NPOs)are fewer than those in business enterprises. But there are significantly influences in NPOs. As for the private university, its mission lies in cultivating students’ abilities and researches, which will influence the country’s economics development. And the private university has the nature of public goods. If the drawback or malpractice happens, there will be a great influence in the private university. How to promote the private university’s competitiveness is an important topic. One of methods to increase competitiveness in private universities is setting up governance mechanisms. Since we joined WTO (World Trade Organization, hereafter referred to as WTO), besides domestic the same competition, the university has been facing foreign colleges’ competition pressure that enrolls new students or sets up the branch school. Because of the trend in conformity with globalization in the educational industry, diversified types of operation, such as the class of second special ability, cooperation, the patent management , paid scientific and technological service , research results to rotate and make the investment, etc., test effective governance mechanisms in the university. Satisfy the motive of this research: Would the corporate governance be suitable to use in the private college? Measures have to be taken to promote what is beneficial and abolish what is harmful. The purposes of the research are(1)to understand corporate governance of business enterprises; (2)describing governance mechanisms of nonprofit organizations; (3)to inspect those, governance mechanisms of Chung Yuan Christian University, being complete. In addition, the analysis of the governance activity in Chung Yuan Christian University, belong to exploratory research. In this study, we adopt literature analyses, interview and studying carefully of data. In my understanding, manifesting governance structure type of the private university. The results are summarized as follows: (1)as for private universities, boards of trustee is the core of governance mechanism; (2)in aspect of internal governance mechanism, the present and school synod are administration's supreme decision organization of the administrative affairs of college on managing inside the school. Under it affiliated administrative meeting and relevant committee are responsible for carrying out the surface actually; And academy respect, adopt conduct academy acting on one's own, is planned to combine by oneself by the every institute and department, also there is institute's affair meeting its important items under its system; (3)The relevant system of governance mechanisms are included, the internal control, the internal audit and the self-study, which can make the operation of the university more efficient and the result.(4) The professional groups of outside which is the relevant with private colleges’ governance: Ministry of Education, the Private Schools Council, the foundation for the promotion of private schools to handle donations, comment association , certified public accountant, Ministry of Education sets up the educational evaluation of higher education , which drive every university make administrative affairs of schools institutionalized, and inspect internal governance of school proper.
