本研究目的在探討董事會多元化(性別、任期、專業背景、國籍、獨立性及彙總之綜合指標)與董監事暨重要職員責任保險之關聯性,研究以2013年至2017年之台灣上市上櫃公司為研究期間及對象。實證結果顯示,整體董事會多元化程度愈高,公司購買D&O責任保險之需求及金額愈高,另以各董事會多元化特性檢測,發現董事會性別多元化愈高,D&O責任保險之需求及金額愈低;董事會任期多元化、專業背景多元化、國籍多元化及獨立董事多元化愈高,公司購買D&O責任保險之需求及金額愈高。此研究結果表示,企業董事會成員及結構愈多元,愈傾向於要求公司投保D&O責任保險,且金額幅度亦較高;顯見董事會成員及結構的多元,會使董監事強化企業風險的管控。
The purpose of this study is to examine the relationship between board diversity (gender, tenure, specific background, nationality, independence, and overall) and directors’ and officers’ liability insurance (hereinafter referred to as D&O liability insurance) for the listed companies in Taiwan from 2013 to 2017. The empirical result shows that there is a positive relation between the level of the board diversity (overall diversity, tenure, specific background nationality, and independent) and the demand and amount of D&O liability insurance. However, I find a negative relation between the level of the gender diversity and the demand and amount of D&O liability insurance; There is a positive relation between the level of the tenure diversity, specific background diversity, foreigner diversity and independent diversity and the demand and amount of D&O liability insurance. This results indicate that a firm with a more diversity board members and structure may drive the firm to adopt more risk averse actions which increase the demand and amount of D&O liability insurance.
