電子商務民事法律問題研究

摘要


電子商務為傳統的商業帶來交易模式的改變,不但為消費者提供了即時性、互動性、以及個人化的方式來購買商品,同時也相對降低了企業營運的成本。由於傳統的契約規範無法足夠因應電子商務所帶來的消費爭議,如何建構相關法制以符合知識經濟之需求成為世界各國政策研擬之重點。 本論文從民事法律的角度出發,透過提出電子商務民事法律爭議問題,來探討目前我國電子商務與消費者保護之相關法律制度。本文共分為七章,茲分別說明如下: 第一章為緒論,說明本文之研究範圍主要為企業對客戶與客戶對客戶兩種型態之電子商務相關民事 法律與消費者保護問題。 第二章為電子商務意義與類型之概要介紹。 第三章為國際組織與各國電子商務之相關立法,其中包含聯合國、歐盟、經濟暨合作發展組織、德國、美國、日本、中國大陸與我國有關電子商務與電子簽章相關規範之概要介紹。 第四章為我國與中國大陸電子商務消費者保護法律制度之探討,其中包含民法、消費者保護法、公平交易法中電子商務消費者保護相關規定與行政監督機制之概要介紹。 第五章為網路交易與交易安全,內容討論網路交易與行為能力、網路交易之定型化契約以及網路交易安全等問題。 第六章為本文之核心內容,探討個人隱私權保護、網路不實廣告、消費者契約解除權、拍賣網站之法律責任與網站標價錯誤等民事法律問題。並輔以學說與近年相關實務判決來加以討論。 第七章為本文之結論與建議。

E-Commerce has essentially changed the model of traditional transaction. It not only provides immediate, interactive and personal ways of buying goods for consumers but also reduces the cost for business. Because traditional contract norms are not enough to solve controversies brought by E-Commerce, adjusting legal system has become indispensable policies for every country. This dissertation originates from the viewpoint of civil law, and try to analyze the legal system in Taiwan with regard to E-Commerce consumer protection. This dissertation is divided into seven chapters with contents as follows: Chapter 1: Preface. This study is mainly focused on the discussions of legal issues of "Business to Customer" and "Customer to Customer" types of E-Commerce. Chapter 2: Brief introduction about the meanings and the common types of E-Commerce. Chapter 3: This Chapter explains the related regulations of international organizations and some countries including Germany, American, Japan, China and Taiwan. Chapter 4: This Chapter organizes legal systems of Taiwan and China involving E-Commerce and consumer protection such as Civil Law, Consumer Protection Law, Fair Trade Law and Administrative mechanisms. Chapter 5: On-line transaction and security problem. This chapter gives further discussions about Internet users under age, standard-form contract, and the mechanisms of supervising the on-line shops. Chapter 6: This chapter is the critical part of this dissertation. It elaborates several civil law issues concerning personal data privacy, misleading advertisement, contracts rescission, the legal responsibilities of internet platform, and pricing errors of websites. It also provides academic theories and related legal applications for each topic. Chapter7: Conclusions and suggestions.
