論美國協議型企業體制在我國之實現

摘要

本篇論文的主旨，即法律與一連串經濟現象的整合。一方面透過探討現行企業組織法制、在新經濟時代下的適用；另一方面，藉由對於「美國協議型企業體制」、詳實並細緻化的分析、檢視，以尋求符合我國現行法制構面、以及產業構面的新型企業組織。

所謂「協議型企業體制」，顧名思義、即該企業體制之主體營運，乃由「股東協議」、或說「契約」所建構。更精確來說，「協議型企業體制」的法律規範密度低、法律之「任意規定」範圍大；反之，法律規範密度高者，該企業之營運或當事人權利、義務關係的調整，就受到較多法律「強行規定」的限制。

本文主要的三個結構點：一是企業新型聯合模式與新經濟的時代中，對於企業組織秩序、期待能以彈性化的協議安排；其二，能結合專業技術服務和資金、充分發揮人力效益、因應知識經濟產業發展的「資合性合夥組織」，即如創業投資事業的適用；其三，是由第五章、基於無限責任風險之控制而來，而期望對合夥組織之連帶無限責任、有所切割。

最後，進一步討論美國協議型企業體制、引進我國之合適方案，期待經由新制實現後，包括對於我國在世界貿易組織架構下的企業經營、與企業組織之接軌，都能獲得正面的回饋。針對經濟貿易全球化、自由化時代，以及跨國專業服務、亦即國際合夥企業的新思維，透過企業組織新秩序的重建，對於我國企業競爭力，當然也有相當的加分效果、甚至影響我國產業景氣與經濟榮枯；這裡，即呼應法律與經濟整合的實效，也就是蝴蝶效應。

In this article, the most important of all is the discussion about “Business Organization.”

Basically, the structure can be divided into three parts. First, I try to combnat “Law” and a series of phenomenon of “New Economy.” Then, by knowing the operation of “Statement-type Business Organization” in the United States, I used it to check the problem resulted from “New Economy.” Last, a suggestion or formulation is built after lots of analysis.

In chapter one, an introduction is routinely set, like the motive, purpose, range and method of this thesis. In chapter two, a backround is briefly stated. We will find “what” the relationship is between law and industrial economy.

In chapter three, here is the argument of this thesis. We will focus on “why” we need new business organization in new-economy times. In chapter four, “Statement-type Business Organization” in the United States is our reference materials. We will know “how” it operat.

In chapter five, a detail analysis is discussed. We will compell most of the business organizations between our country at the U.S. In chapter six, we will give a formulation under the support of forward chapter. In chapter seven, it is a conclusion at all.
