商務契約管理的自動化流程應用

隨著契約的需求增加及智慧財產權的意識上升，相關人員需要花費大量的時間，針對合同中包含的所有必要文件、附件和數據進行有組織地管理，無論該合同是否將被簽署或重新審核。不僅是在起草的過程中，包括在執行的過程中，都必須確保合同的每個方面都得到充分考慮，以便各合作方必須遵守的條款都清楚地條列下來，並且與每個合夥的客戶及潛在客戶得以保持良好的合作關係。為了實現這一目標，有些公司使用契約管理系統（CMS）來進行文件歸檔，以使契約被妥善管理。然而，若要將所有文件歸檔到傳統的契約管理系統中，所有相關的工作仍需要人工完成，而這通常需要花費大量的時間和精力。有鑑於此，本文將針對契約管理的特定領域導入機器人流程自動化 (RPA) 以取代傳統契約管理系統的優勢進行研究，因機器人流程自動化RPA是現今最先進的計算機科學技術之一。在這項研究中，文獻分析為我主要的研究方法。我發現，現今RPA已經被用來處理許多日常的工作，例如輸入數據，計算員工的工資，解決光學字符識別（OCR）的問題，它還可以將來自不同資料來源的數據聚合到一個完整的數據庫中。因此，將 RPA 引入契約管理將會是一個很大的創新，如果我們能夠將 RPA 應用到日常工作中，可以使契約管理更加有效率。

With contracts’ demands increasing and the awareness of intellectual property rights arising, it takes a lot of time to prepare all the necessary documents, appendixes and data that are to be included in a contract in an organized way whether the contract in question is going to be signed or renewed. It is essential to make sure that every aspect of the contract is well considered during not only the drafting process, but also the execution process, so that every listed term by which the parties are duly bound to follow is clearly written down and that every partnership of the clients or potential customers is well maintained. To achieve this goal, some companies use contract management system (CMS) to file documents in order to make contracts well-organized. However, to file all documents into a traditional CMS and all the relevant routine works still need to be done manually and such manual work usually cost a lot of time and efforts. In this light, this essay will study on the benefits of using Robotic Process Automation (RPA), which is one of the most advanced computer science technologies, in certain areas of contract management, replacing the traditional CMS. I use documentary analysis as my main research method in this research. I find that RPA nowadays has been utilized in many routine works, such as inputting data, calculating salary of employees, solving the problem of Optical Character Recognition (OCR), a technology that makes the images such as scanned document into machine-encoded text. It can also aggregate data from different sources into a single and complete database. The introduction of RPA into contract management can be a big innovation and make contract management more efficient if we can apply RPA to the routine work.
