促參模式下履約管理對政府監督管理之影響-以觀光遊憩案為例

摘要


近年來政府因面臨收支失衡的財政問題,為避免影響公共建設與服務的提供,故引入民間資源參與公共建設的提供,藉以持續提供公共服務、加速振興經濟、帶動商機、增養政府財稅等,在台灣任何一項正式的合作關係都需依賴合約與法律來進行規範,促進民間參與亦是,即政府藉由契約進行監督管理促參案之規劃、興建與營運的進度與品質。 促參專案於投資契約簽訂後,即開始了主辦機關與民間機構之間的夥伴關係亦跨入關鍵的履約期,而如期如質的提供該項公共建設服務更為促參案件成功的關鍵;然而促參案件因涵括工程、財務、法務等專業範疇,履約執行必須運用專案管理方式有效管理及協調契約各關係者間介面之整合,因此政府於履約執行過程需要具備有各項專業技能之履約管理顧問團隊協助進行履約查核與監督管理確保民間機構確實履行合約及品質進度的控管。又民間機構於興建過程須具有專業營建管理團隊協助工程規劃設計、發包、施工、完工驗收及後續營運維護等代理業主執行工程管理確保品質、降低成本及縮短工期。惟目前促參履約的執行過程時常發生專案履約管理顧問與專案營建管理角色工作及監督管理職責之混淆與認知上之差異,造成政府監督管理過當的情況,而政府過度的監督管理行為,影響民間企業的創意、彈性與效率,而過度的介入將可能造成風險不適切的移轉。 因此本研究旨在探索促參機制下履約管理顧問對於政府執行履約管理監督的影響,並釐清專案履約管理顧問與專案營建管理於促參專案中管理權責。由本研究可發現促參專案執行層面繁複、涉及層面甚廣,故需要一群專業人員所組成的團隊來協助主辦機關執行履約管理監督及風險管理之工作,以確保契約履約執行的效益最大化、風險最小化的目標。

In recent years, the government has been facing the finance deficit problem, so it introduces the private resources to participate in infrastructure and service in order to continue providing public service, speeding up economic development, bringing along the business opportunity and increasing the government revenue, etc. Just like any other formal cooperation relationship in Taiwan which needs to be standardized by contracts and laws, the private participation needs it as well. Thus the government uses the contract to supervise and manage the process and quality of the project with private participation. After signing the investment contract of the project of promotion of private participation, the partnership between the sponsoring institution and the private organization begins to enter into a key period of the contract performance. However it is a key to success to provide the infrastructure and service to meet the schedule and the quality required. The project of promotion of private participation involves with many technical aspects like engineering, financing and legal affairs, etc. Moreover, the project contract management must be applied to manage and coordinate all parties concerned effectively. Therefore, during executing the contract, the government needs a Contract Management with various kinds of professional skills to assist with checking and supervising to assure that the private organization can really perform the project according to the contract. The private organization must have a Professional Construction Management team to assist to deal with the plan and design of the project, subcontracting, construction, checking and acceptance of the completion and follow-up operation and maintenance, etc. to act as the agent of owner to conduct the project management and assure the quality, to decrease the cost and shorten the construction time. But during the performing process, there often exist cognitive differences on the roles and supervision management responsibilities of Contract Management and Professional Construction Management team, which results in government to supervise and manage excessively, and has an influence on the innovation, flexibility and efficiency of the private enterprises. Moreover, the excessive government involvement may make the risks to shift improperly. Thus this thesis is aimed at exploring Contract Management’s influence on the management and supervision of the government’s performing contract under the system of promotion of private participation, and clarifying the management responsibility of Contract Management and Professional Construction Management team in the project of promotion of private participation. Through this study, we can see that the project of promotion of private participation is very complex and involves various aspects, thus a group of professional personnel is needed to assist with the sponsoring institution executing management and supervision and risks control to assure that the benefits of performing the contract will be maximized and the risks will be minimized.
