不良債權之轉讓暨強制執行之研析

摘要金融機構在自由化及國際化環境下，倘追求放款業務的成長卻因而忽略風險控管及授信品質時，如加上景氣循環問題，恐致金融機構衍生出所謂的不良債權問題。又金融機構屬特許申請制並受高度監理之特殊性，故金融機構處理逾期放款業務時，所應遵循監理制度及法規遵循，更應受到重視。檢視外國金融機構處理不良債權之法制狀況，包括美國、日本、韓國之金融機構處理不良債權之法制之比較，作為我國金融機構處理不良債權法制之檢討與建議。本論文以我國金融機構不良債權，由資產管理公司或個人買受之後，其強制執行之法制與實務操作為主要研究範圍，包括法律依據、出售不良債權模式與種類、出售不良債權程序主管機關監理之重點、我國不良債權強制執行程序實現債權等，為本研究之目的。關鍵字：不良債權、逾期放款、資產管理公司。

ABSTRACT Under the liberalization and internationalization environment, if financial institutions pursue the growth of lending business but neglect risk control and credit quality, if the business cycle problem is added, the so-called non-performing debt (NPL) problem may arise in financial institutions. In addition, financial institutions are subject to the speciality of the franchise application system and are subject to high supervision. Therefore, when financial institutions handle overdue loan business, they should follow the supervision system and laws and regulations, and more attention should be paid to them. Review the legal system of foreign financial institutions dealing with non-performing debts, including the comparison of the legal systems of financial institutions in the United States, Japan, and South Korea in dealing with non-performing debts, as a review and suggestion for the legal system of Chinese financial institutions dealing with non-performing debts. This dissertation focuses on the legal system and practical operation of the enforcement of non-performing creditor's rights of financial institutions in my country after they are bought by asset management companies or individuals, including the legal basis, the mode and types of non-performing creditor's rights sold, and the supervision of the competent authority for the sale of non-performing creditor's rights. The focus of this study, the standardization of post-event management after the sale of non-performing debts, and the enforcement procedures for my country's asset management companies to deal with non-performing debts to realize debts, etc., are the purposes of this study.
