臺灣發行可轉換公司債之回顧與探討

摘要

本論文主要探討臺灣可轉換公司債的發展過程，第一件可轉換公司債於民國78年開始上市，政府陸續推動各項法規修正。本研究針對可轉換公司債與公司融資政策、可轉換公司債之發行動機與公司特性、可轉換公司債的定價模式探討進行文獻整理，並分析臺灣可轉換公司債市場的特性，即發行公司多為大規模的公司且產業分佈以電子居多。最後發行可轉換公司債的公司於發行後公司營運績效與股價報酬大多數皆表現不佳的情況下，故投資人投資可轉債必須謹慎篩選公司治理佳與無盈餘管理的公司進行投資。

This paper study the development of convertible bonds in Taiwan. The first convertible bond was issued in 1989, and the government revised the law progressively. We investigate how the revised law to affect the convertible bonds in Taiwan. We review the literatures about the corporate financial policy, the motivation of issuing convertible bonds and the pricing of convertible bonds. We find that the issuing companies are big sizes and the majority of them belong to the electronic industry. Finally, investing convertible bonds need to consider the corporate government and earnings management of the issuing companies.
