經濟全球化對我國企業併購法制之衝擊

摘要

本文將經濟全球化做完整的瞭解，並認識其所帶來的改變。企業該如何面對經濟全球化而採取相關的策略應對，以及整個法制環境下能否隨著企業的策略而做適當的配合與管理，使得我國之企業併購法制在經濟全球化所帶來的衝擊下，能隨之調整，以便企業能順利接軌全球市場，為持企業的持續成長與其競爭力。認識了經濟全球化後，瞭解併購因為能有效的利用資源配置，發揮綜效之規模經濟，並且能迅速掌握各地資訊，是一條邁向全球化競爭之路的捷徑。分別地介紹與企業併購有關的策略：私募基金、公司治理、知識經濟、併購類型等等，而提出了建議，我國企業應在台灣成立產業控股公司，以掌握全球各地的資金調度與生產事業，利用台商對亞洲熟稔的優勢，佈局全球。

接著針對企業併購型態與所涉法律規範，就企業欲採取之模式中相關問題為探討，藉此檢視我國目前企業併購之環境仍有不足之處，相關制度保障未完全符合企業之需求，希望能將紛雜之法令體系簡化減少政府干預，始能與國際接軌，提出意見供相關單位作為往後修法之參考，且更進一步地延伸，當我國企業併購活動以及併購法制的調整後，所帶給社會其他層面的影響也一併就幾方面為提醒。

最後，我國企業目前所迫切需要的是跨國併購、跨國公司經營的知識、經驗及人才，政府亦應該立即重視並建構自由開放與公平的新環境，以迎接經濟全球化的挑戰和衝擊。

This thesis is aiming to achieve a total understanding of economical globalization, and the impact it brings. What strategies enterprises should take? Can the whole judicial surroundings follow up to make “Business Mergers and Acquisitions Act” to be adapted to globalization in order to let the enterprises to enter to the global market successfully. Understanding that Mergers and Acquisitions is to distribute sources properly, to reach the effect of “economy of scale”, and to grasp information rapidly is the short-cut to the global competition. This thesis introduces four strategies about Mergers and Acquisitions, Private equity、Corporate governance、Knowledge economy、forms of Mergers and Acquisitions. And this thesis proposes one advice, enterprises in Taiwan should found holding company to grasp global enterprise finance operations and productive enterprise, and should take the advantage of Taiwanese entrepreneurs’ familiarity with Asia.
On the laws about forms of Mergers and Acquisitions, we discuss the Mergers and Acquisitions models enterprises take to review the problem of judicial surroundings of Mergers and Acquisitions in Taiwan. We hope to simplify the judicial system to decrease the level of governmental interference. And further we discuss other possible social impacts.
Enterprises in Taiwan need the know-how and knowledge of cross-border M&A and international enterprises administration. The government should focus on establishing a free and fair surrounding, in order to face the challenge and impact of economical globalization.
