企業併購對安全及環保績效之影響–以F公司為例

摘要

企業在追求其組織最大效能與經營目標時，也不能忘記企業必須盡到的責任，就是員工安全與環境保護，這些基本的責任不但是各國政府所要求，也是社會對企業的期望，且對企業本身也是長期的價值創造。而企業併購是企業外部成長策略之一，也是獲得並保持競爭優勢的方法；企業併購有其預期達成的策略目標，但對於安全環保的績效也必須加以重視。
本研究目的是探討企業併購對企業安全環保績效的影響。透過文獻探討以確認重要構面及建立本研究架構，並對F公司於經營權轉換的過程，該公司之組織變革、企業文化的轉變及其安全環保績效進行分析、歸納後，做出相關具體建議，以期成為後續研究之引導。
本研究主要發現組織經歷經營者的轉變，如F公司之母公司被併購，新經營者依其收購之目的擬訂策略，對該公司產生組織變革，同時亦對組織文化帶來改變，以符合組織之新方向。而安全文化可視為整體組織文化的子集合之一，組織文化之變遷不必然影響所有價值觀，某些與組織新方向不直接衝突的部分，可以繼續維持。組織安全文化為組織安全環保績效的關鍵因子之一，有良好的安全文化及正確的環保價值觀做為基礎，能維持安全環保系統的健全有效運作，而外顯的結果便是良好的安全環保績效。

The safety and environment protection are the basic requirements for the firms while them pursuing operating effectiveness and business targets. These requirements are not only to comply with regulations; they are also to meet expectations from publics as well as the creation of long term values for firms themselves. M & A’s (mergers and acquisitions), one of the enterprise's strategies to get speedy growth, is also the methods for acquiring and maintaining competitive advantages. However, the safety and environmental performance needs to be maintained during the process of M & A’s.
This study focuses on the effects of mergers on safety and environmental performance. The major factors of this study are identified with reviewing relevant literatures, and then looking into the effects of ownership change for F Company. Some concrete suggestions are made, and are expected to become the reference of the following studies.
Through case study of F Company, the following findings are highlighted. The ownership change will trigger organization change to meet the new owner’s strategy; the organization culture is also changed accordingly. The organization culture change does not necessary involved all parts of original culture after M & A’s. The safety and environmental protective culture is part of the organization culture, it can be maintained during organization change as it does not conflict with the direction of new owner. This study also points out the key factor to maintain excellent safety and environment performance of F Company is the safety and environmental protective culture.
