論促進民間參與公共建設法的選商程序-以法國公私協力契約中的競爭性對話程序為借鏡

On Evaluating Process in Act for Promotion of Private Participation in Infrastructure Projects – Lessons from the Competitive Dialogue for Public-Private-Partnerships contract in France

摘要


現行行政機關藉由公私協力之形式,藉取私人之技術與資金履行行政任務,甚為常見。然按促 參法以民間參與公共建設之例,不少案例係因履約相對人之技術與能力問題,以致公共建設之建造 與營運發生爭議,甚至衍生政府出面接手,付出更多成本,有違公私協力之目的。本文認為得由促 參法之選商程序觀察,補充其不足之處,有助行政機關選取最適合作夥伴。本文先由國家遴選分配 決定程序、申請人之基本權保障、選擇最適合作夥伴之國家責任出發,推導出國家有責任建置一公 平公正之選商程序。後就我國促參法選商程序之法律關係予以分析,並就現行促參法甄審決定所出 現之問題,以及協商程序制度之問題予以提出。本文並簡單介紹法國公私協力契約與其選商制度, 其中競爭性對話程序係針對公部門對於所欲實施之計劃,認定對於制定技術方法欠缺可能性,以及 財務與法律設置欠缺可能性之情況下,得開啟之程序,於初步接受候選人之提案後,選擇適當之候 選人進行對話,公部門得與候選人就契約的各個面向而為討論,並得提出問題,以及與其他候選人 提案為比較,公部門亦得於此對話過程,學習相關履行契約建置與營運之知識,當公部門認為對話 過程得以終結,得要求候選人依其討論內容,提出最後提案,並按最後提案選定最有經濟性優點之 候選人。回頭檢視我國促參法選商程序之法律關係,本文認為現行實務以雙階理論解釋選商程序之 法律關係具有檢討之必要,毋寧將選商程序視為整體契約之一部更能貼近事實。此外,面臨新興公 共建設計劃時,若得引進競爭性對話程序,則有助於行政機關選擇最適之合作夥伴,並透過知識之 學習,協助其落實監督等國家責任。競爭性對話程序之某些要素,如相關原則之遵守、行政機關自 行甄選、締約等待期間、津貼給予等,亦得有助促參法之選商程序建構一公平公正之制度。

Now administrative authority often through the way of PPP obtaining private technology and funds to fulfill administrative tasks. However, in the field of Promotion of Private Participation in Infrastructure Projects, there are some cases with arguments in building and operating of public constructions because of the problems of the technology and abilities of the other party to the contract. Finally, it costs even more than the governments do itself, and still take it over by governments. It’s contrary to the purpose of PPP. This article considers observing the evaluating process in Act for Promotion of Private Participation in Infrastructure Projects to complement insufficiency, which contributes to choose the most suitable partner for administrative authority. This study starts from the decision-making process of selection and allocation for nations, basic rights protection of applicants, State responsibility of choosing the most suitable partner, and deduces State with responsibility to build a fair and just evaluating process. Second, to analyze the legal relationships of evaluating process in Act for Promotion of Private Participation in Infrastructure Projects in Taiwan, and raise a question of the problems of current system of election and censorship decision and consultation procedure in Act for Promotion of Private Participation in Infrastructure Projects. This article also makes a brief introduction of PPP contracts and Evaluating Process in France, among them, the competitive dialogue procedure is for the plans which public department wants to implement, to determine that under the circumstances of lack of possibility of formulation of technology methods and installation of finance and law, to open the procedure. After accepting the proposals from candidates, choose the appropriate candidate to dialogue, the public department can discuss with candidate on each face of contracts, raise questions, and compare with proposal from other candidates. The public department can also learn the knowledge of setting and operating contracts in this dialogue. When the public department considers that the dialogue could be end, which asks candidate to make final proposal according to the conclusion, and according to the final proposal to decide the most economic candidate. To view the legal relationships of evaluating process in Act for Promotion of Private Participation in Infrastructure Projects in Taiwan, this article considers rather than the two stage theory in current practice, to regard Evaluating Process as a part of the whole contracts is close to the facts. Moreover, if we can input the competitive dialogue, which contributes to choose the most appropriate partner by administrative authority, while facing new infrastructure projects. We can learn know-how and implement such as supervising of responsibility of nations. The elements in competitive dialogue procedure, such as complying with relative principles, voluntary selection by administrative authority, waiting period of concluding a contract, and allowance given, which also contribute to build a fair and just system of Evaluating Process in Act for Promotion of Private Participation in Infrastructure Projects.
