中小型家族企業主與專業經理人共治之探索性研究

摘要


有些家族企業體認到必須要提升自身管理能力、建立核心競爭力及完善自身內部治理結構等方面,需引進專業經理人來協助公司經營。然而,引進專業經理人對家族企業主來說是個大挑戰,也由於家族企業引進的成功概率不高,同時也要面臨到引進後所遇到種種合作問題和新的障礙。本研究針對中小型家族企業主與專業經理人為研究對象,透過國內、外文獻探討,及同時利用個案研究法與深度訪談法,來瞭解與分析中小型家族企業主與專業經理人在經營理念、信任關係與治理模式及共治要素之影響和看法,進而歸納出家族企業主與專業經理人在共治前所須思考及必須面對的問題與解決對策。研究結果顯示,企業主究竟想要成就怎樣的經營型態和組織規模,跟企業主的思維與作為息息相關,並且深深影響專業經理人在家族企業的角色與功能。可透過經營資源、資訊的分享與經營管理權共有和盈餘權分配,作為互信原則與共治模式的運作基礎,以建立有效共治形態。最後,希望透過本研究提供中小型家族企業主與專業經理人在管理實務上參考依據,以期達成共治與永續經營之目標。

Some of the family-owned enterprises recognize that it is critical to introduce professional managers to assist them for enhancing self-management capability, building core competence and completing organization structure. However, it is also a big challenge for the owners of family business because of the low possibility of success and the new obstacle of cooperation after introducing professional managers. This research targets on family-owned business owners and professional managers to realize and analyze their insights of the impact of business concept, trust relationship, operation model and shared governance by investigating domestic and foreign documents and utilizing case study and in-depth interview. Furthermore, the study concludes the issues and solutions that family business owner and professional managers need to face and think of before collegiality. The result of the research indicate the management style and organization atmosphere that enterprise owners want to achieve are related to their thought and practice, which also deeply influence the role and function of professional managers in family-owned enterprises. Through the share of managerial resource and information, mutual control of company right, and allocation of benefit, the effective collegiality can be established upon the basis of mutual trust and collegiality model. Finally, it is expected to provide the owners of small or medium size family-owned enterprises and professional managers with reference of management practice to achieve the goal of collegiality and sustainable development for the business.
