台灣私立大專院校董事會治理之研究

摘要

教育乃是百年之大業，但近年來私立大專院校董事會之治理弊案層出不窮，令人不盡懷疑台灣對財團法人的規範是否足以杜絶可能的弊端。本研究旨在探討政府對私立學校董事會的監督現況及私立學校董事會行使經營權的運作缺失情形，進而剖析私立學校董事會治理機制之改進課題。研究建議私立學校不應只關心政府外部監督之相關規定，應加強內部監督機制的建立、內部資訊的透明、內部稽核制度的確實、董事會的專業能力培養與企業社會責任觀念的建立。

The purpose of this research is discussing the operating of the private universities board of directors surveillance, and the mechanism of private school board of directors. The research suggested the private school should not only care about the stipulation of the government outside supervision, should strengthen the internal surveillance mechanism, the transparent internal information, the internal inspect and audit system is truly, raise the specialized ability of board of directors and establishment of the enterprise society responsibility idea.
