越南海外直接投資的政策與法律演進之分析

本論文主旨在對1986年後歷屆越南黨代表大會的決議進行探討，並對經濟改革期間，外人投資相關法令的制訂及修改進行分析，藉以明瞭其在經濟革新中所扮演的角色，並就決議中與外人投資相關的決議，進行追蹤其執行結果。再則，筆者認為在經濟革新過程中，除了國內的各項配套措施要完善外，國際環境亦是重要的一環，是故越南外交關係，亦是筆者將要論述的重點。本論文的研究方法是以一種「非介入研究」的方法，主要係採用「文獻分析法」「內容分析法」、「現有資料統計分析法」、「歷史分析法」等學術研究方法，對越南在1986年革新後到2010年間，歷屆黨代表大會的決議及其間投資相關法規的改變進行分析，以釐清其外人投資情形、對外關係及產業發展的變化。研究結果發現：歷屆黨代表大會的決議，為越南的經濟改革擬定具體的方向，並針對投資環境提出積極的改善政策；投資相關法律與時俱進，不斷的修訂，符合投資者的最大需求；對外友好政策的推動，積極參與國際事務，為越南營造良好的外埠環境。在內外相互配合下，使得越南經濟改革能順利達成既定目標，逐漸成為國際間眾所矚目的新經濟體。結論中提出對越南經濟發展建議有：發展環保科技產業、加強產業結構調整及出口、避免通貨澎漲的擴大、基礎設施要能符合需求、罷工問題尋求解套及加強本土人才培訓，對企業投資越南的建議有：越南勞工不再充足、基礎設施差產業配套要不足、對越南各項法律需充分瞭解。

The aim of this study is to discuss the resolutions of the VCP (Vietnam Communist Party) congresses in all previous sessions. On the other hand, the study traces the executive effect of the FDI (foreign direct investment ) of the resolutions. Furthermore, in order to realize what role the FDI played, the study analyzes the laws of the FDI during the economical innovation. The researcher thinks that international environment is crucial in the period of the economical innovation except the domestic supporting policies. As a result, the research also pays close attention to the international relation about Vietnam. The study by the nonreactive research includes the literature analytic method, the content analytic method, phase statistics analytic approach, historical analytic method, etc. Besides, the study analyzes the law of foreign direct investment and the resolutions of the VCP congresses in all previous sessions from 1986(in economical innovation ) to 2010. The study observes the under conditions: The government of Vietnam draw up the guiding principl of the economical innovation by the resolutions of the VCP congresses in all previous sessions. And the government suggested the policies of improving invested environment according the resolutions. According to the conclusion of the research,the suggestions of economical development in Vietnam are: to develop the science and technology of environmental protection, to improve the industrial adjustment and export, to avoid extending the inflation, to facilitate the infrastructure, to resolve the doubts of the strike, to strengthen pesonnel training, etc. By theway, the suggestions of economical environment in Vietnam about the investment of enterprises are: the laborer of Vietnam is not more sufficient, the condition of the infrastructure is insufficient, to be familiar with the laws of Vietnam, etc.
