勞工於企業外調職所生退休金問題之探討

摘要

本研究之目的，針對現已普遍存在之勞工於企業外調職之情況，就實務上案例加以整理並區分出類型，再就各類型依不同學說適用我國退休金法制來加以研究。然我國退休金法制迭經修正，就勞工保險條例老年給付已修正為老年年金；而勞動基準法所規範之企業給付退休金亦由新法勞工退休金條例所取代。惟本文撰寫此時正值新修正勞工保險條例未施行前（施行日期為民國九十八年一月一日），而勞工退休金條例亦僅實行三年時間，可謂新舊法之過渡時期，而關於新修正之勞保條例與勞退條例亦有相關彈性規定，令勞工可於一定期間內選擇適用舊法，並非新法通過即一體適用新法，是以本文所欲處理之勞工於企業外調職所生退休金問題，即必須同時考量舊法下產生之疑問及進一步研究新法是否解決原有問題及後續新法引發之問題，提出可能的解決方案，期許將來可提供實務相關案件裁判之參考，另一方面希冀亦能提供相關法制發展的建議。

實務上企業外調職可分為原勞動契約存續類型與原勞動契約消滅類型，前者又可再分為「繼續給付薪資」與「中止給付薪資」類型；而後者可分為「新訂契約」與「契約承擔類型」。針對原勞動契約存續類型所衍生之勞工、原雇主與他企業間之法律關係為何，有「單獨契約說」、「二重契約說」與「單一契約共同雇主說」，而原勞動契約消滅類型之法律關係則較明確。對於勞工於企業外調職所生之退休金問題，就各類型套用學說後，得出以下結論：

壹、 先確立企業外調職命令之合法性判斷有助於解決後續相關退休金問題。

貳、 對於企業外調職命令性質與合法性判斷應區分類型而為不同要求。原勞動契約存續類型採取「具體同意說」；原勞動契約消滅類型採取「個別同意說」且皆須受權利濫用禁止之規制。

参、企業外調職後之法律關係，採取「單一契約共同雇主說」之看法，對於勞工退休金之保障較合理，惟仍須做進一步之調整。

The pension system in Taiwan has faced tremendous reform, and it is important to decide the application of the new law.
However, there are more and more external and internal transfer situation in Asia, especially in Japan and Taiwan, and the working of the pension system is not clear enough when the transfer happens. In this article, the definition of job transfer will be introduced, and the legal problem of external transfer emphasized.
Two kinds of the external transfer will be issued in this article: the termination of the original contract, and the continuation of the original contract. This article will discuss how the contract goes with the employee’s consent, and the application of ‘abuse of right’ principle.
For the sake of the employee, this article tries to find the best way to solve the pension problem in transferring labor.
